Role Overview:

As the Company Secretary, you will be the cornerstone of our corporate governance and compliance framework, ensuring the organization adheres to the highest standards of legal and ethical conduct. You will work closely with the Board of Directors, senior management, and various internal teams, providing expert guidance on corporate law, SEBI regulations, and other statutory requirements. Your role will be pivotal in maintaining the company's reputation, mitigating risks, and fostering a culture of transparency and accountability, ultimately contributing to the long-term success and sustainability of the business.

Key Responsibilities :

- Ensure meticulous compliance with all applicable SEBI regulations, Listing Regulations, and other relevant corporate laws to safeguard the company's interests and maintain regulatory standing.

- Advise the Board of Directors and senior management on matters related to corporate governance, legal compliance, and risk management to facilitate informed decision-making.

- Manage all aspects of corporate secretarial functions, including organizing board meetings, preparing agendas and minutes, and maintaining statutory records, to ensure efficient and compliant corporate operations.

- Oversee the preparation and filing of all statutory returns, reports, and documents with regulatory authorities to meet compliance deadlines and avoid penalties.

- Develop and implement robust compliance programs and policies to promote a culture of ethical conduct and adherence to legal requirements across the organization.

- Manage contract drafting, review, and negotiation to protect the company's legal and commercial interests.

- Handle corporate communication with shareholders, regulatory bodies, and other stakeholders to maintain transparency and build trust.

- Conduct secretarial audits to assess the effectiveness of compliance programs and identify areas for improvement.

- Stay abreast of changes in corporate laws, regulations, and best practices to provide timely and accurate advice to the organization.

- Oversee matters related to labour laws and ensure compliance with relevant employment regulations.

- Manage financial reporting processes in accordance with applicable accounting standards and regulatory requirements to ensure accurate and transparent financial disclosures.

Required Skillset:

- Demonstrated expertise in corporate law, SEBI regulations, Listing Regulations, and other relevant statutory requirements.

- Proven ability to provide strategic advice and guidance on corporate governance, compliance, and risk management matters.

- Exceptional communication, interpersonal, and presentation skills to effectively interact with the Board of Directors, senior management, and other stakeholders.

- Strong analytical and problem-solving skills to identify and address complex legal and compliance issues.

- Ability to develop and implement effective compliance programs and policies.

- Experience in managing contract drafting, review, and negotiation.

- Familiarity with financial reporting processes and applicable accounting standards.

- A qualified Company Secretary with a strong academic background in law or a related field.

- Adaptability to thrive in a dynamic and evolving regulatory environment.
