Qualification: Qualified Company Secretary
Should have minimum 5 years of experience corporate secretarial, governance, and compliance functions.
Job Profile:
1. Corporate Secretarial:
- Provide end-to-end Company secretarial and compliance support.
- Preparation and review of Board, Committee, and Shareholder meeting documentation including notices, agendas, resolutions, and minutes.
- Manage relationships with external company secretarial service providers.
2. Regulatory Compliance & Filings:
- Oversee statutory forms, annual returns, and event-based filings.
- Ensure compliance calendars are proactively tracked and deadlines met without exceptions.
- Lead corporate actions such as incorporations, director appointments/resignations, capital increases, shareholding updates, restructurings, and dissolutions.
3. Entity Management & Record Keeping:
- Maintain and regularly review statutory registers, corporate records, and governance documentation.
- Supervise the accuracy and upkeep of the database, organizational charts, and corporate structure records.
- Strengthen governance standards and internal controls for legal entity management across jurisdictions.
4. Financing & Transactional Support:
- Draft and coordinate Board and Shareholder Resolutions required for financing transactions (Term Loans, working capital facility etc).
- Support charge creation, modification, and satisfaction filings with regulators.
- Assist in managing internal approval processes, including documentation flow and compliance trackers.
- Liaise with banks, external counsel, and service providers for execution of financing-related documents.
5. Administrative Support:
- Manage legalization, apostille, and notarization of documents for cross-border transactions.
- Monitor and optimize external counsel and service provider costs, including invoice review, invoice database management and processing for payment.
