A Mumbai-based law firm is seeking a Company Secretary with strong expertise in Foreign Direct Investment (FDI) and FEMA compliance to support its domestic and international client base. The role involves managing end-to-end regulatory filings, investment structuring, and RBI interaction while ensuring seamless compliance under the Companies Act and FEMA. The candidate will play a key role in handling FDI transactions, cross-border fund flows, and regulatory reporting with precision and efficiency.

Key Responsibilities:

1. FEMA & FDI Filings: Manage end-to-end FEMA and FDI compliances, including FC-GPR, FC-TRS, ODI and SMF filings on the RBI portal

2. Investment Structuring: Advise clients on inbound and outbound investment structures, share transfers, and regulatory requirements under FEMA

3. RBI & AD Bank Coordination: Liaise extensively with authorized dealer banks and the RBI to secure approvals, resolve queries, and ensure compliant fund flows

4. Secretarial Documentation: Prepare high-quality corporate secretarial documentation - board resolutions, statutory registers, certificates, and compliance records.

5. Companies Act Governance: Oversee ongoing compliance under the Companies Act, ensuring timelines and statutory requirements are met despite high transaction load. 6. Transaction Execution Support: Support M&A and FDI-heavy transactions by managing fund-flow documentation, regulatory reporting, and investor-side compliance deliverables. Playing the lead on Company DD on heavy transactions

Ideal Candidate Profile:

- 8-10 years of experience with a strong focus on FEMA, FDI, and cross-border investment compliance.

- Demonstrates the capability to handle high-volume FDI filings and complex regulatory requirements with precision

- Has prior experience working in a law firm or specialised corporate secretarial/FDI practice

- Possesses excellent coordination skills for dealing with AD banks, investors, and RBI on time-sensitive submissions

- Builds strong drafting, compliance management, and transaction support abilities suited for a fast-paced, FDI-heavy practice.

- Willingness to put in hours, as law firms have long working hours.
