Job Purpose:
We are seeking a dynamic and experienced Company Secretary who will play a crucial role in ensuring the company's compliance with legal, regulatory, and governance requirements.
This position involves managing the companys corporate governance framework, ensuring adherence to statutory and regulatory obligations, and providing strategic support to the Board of Directors and executive management.
Principal Accountabilities (Role & responsibilities):
Key Responsibilities
Corporate Governance:
- Ensure the companys compliance with corporate governance standards and regulations.
- Develop and implement corporate governance policies and procedures.
- Advise the Board of Directors and senior management on governance matters and best practices.
Board Support:
- Prepare and manage the logistics for Board meetings, including agendas, board papers, and minutes.
- Facilitate communication between the Board, management, and shareholders.
- Provide guidance on legal and regulatory compliance to the Board and its committees.
Regulatory Compliance:
- Ensure compliance with relevant laws and regulations, including the Companies Act, Securities laws, and stock exchange rules.
- Prepare and file necessary documents with regulatory authorities, including annual returns, financial disclosures, and other statutory reports.
- Monitor changes in legislation and advise on implications for the company.
Shareholder Relations:
- Manage shareholder communication and relations, including organizing annual general meetings (AGMs) and extraordinary general meetings (EGMs).
- Address shareholder inquiries and manage shareholder records.
Records Management:
- Maintain and update the companys statutory registers, records, and documents.
- Ensure proper documentation and archival of corporate records, including minutes of meetings and resolutions.
Ethics and Compliance:
- Promote ethical conduct and compliance within the company.
- Oversee internal compliance programs and assist with investigations into breaches of company policy or regulatory requirements.
Secretarial Functions:
- Oversee and manage the companys secretarial team.
- Ensure the accuracy and timeliness of all corporate documentation and filings.
- Manage corporate seals, certificates, and other official company documentation.
Requirements:
- Minimum 1 year of experience as Company Secretary.
- Proven experience in working with listed companies.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently and as part of a team in a fast-paced, dynamic environment.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
- Experience: Minimum 1 Year
