Purpose of the Role:
To lead and execute the financial, regulatory, and strategic process for achieving stock market listing through a reverse merger or other optimal structuring options. The CFO will play a pivotal role in integrating the private limited company with the listed entity, ensuring compliance, governance, valuation alignment, and seamless post-transaction operations within the next 12 months.
Key Responsibilities:
1. Reverse Merger / Strategic Listing Execution
- Evaluate and finalize the most efficient route to listing (reverse merger, amalgamation, demerger, or alternative structures).
- Lead end-to-end execution of reverse merger with the acquired listed company.
- Prepare detailed transaction roadmap with timelines and regulatory milestones.
- Coordinate with stock exchanges (BSE/NSE), SEBI, and other regulatory authorities.
2. Coordination with Professional Advisors
- Act as single point of contact with:
- Investment Bankers / Merchant Bankers
- Legal Advisors
- Statutory & Peer Review Auditors
- Valuers and Secretarial Auditors
- Coordinate due diligence, scheme drafting, filings, and approvals.
- Manage queries from regulators, exchanges, and shareholders.
3. Financial Integration & Reporting
- Align accounting policies between private and listed entities.
- Oversee consolidation, restatement, and harmonization of financials.
- Ensure compliance with Ind AS, Companies Act, and Listing Regulations.
- Strengthen MIS, cost accounting, inventory controls, and margin reporting relevant to manufacturing and trading businesses.
4. Corporate Governance & Listed Entity Compliance
- Upgrade governance framework to listed-company standards.
- Support Board and Committee restructuring.
- Implement SEBI (LODR) compliance, disclosures, and reporting systems.
- Establish internal controls, SOPs, and risk management frameworks.
5. Capital Structure, Tax & Transaction Advisory
- Optimize capital structure pre and post merger.
- Advise on share swap ratios, valuation inputs, and fairness opinions.
- Coordinate tax structuring to ensure tax-efficient merger with minimal legacy risks.
- Manage disclosures related to litigations, contingent liabilities, and related-party transactions.
6. Investor Relations & Market Communication
- Support communication with public shareholders, analysts, and institutional investors.
- Prepare investor presentations, financial highlights, and explanatory statements.
- Assist promoters in shareholder meetings, roadshows, and analyst interactions.
7. Post-Merger Stabilization & Growth
- Ensure smooth operational and financial integration post-merger.
- Oversee quarterly and annual financial reporting of listed entity.
- Support fund-raising, QIPs, preferential issues, or other capital market actions if required.
Qualifications & Experience:
- Chartered Accountant (CA) / MBA Finance / CFA.
- 15-25 years of experience in finance, accounting, and compliance.
- Mandatory experience in at least one reverse merger, amalgamation, or listed-company transaction.
- Strong exposure to manufacturing and trading sector financials.
- Hands-on experience dealing with SEBI, Stock Exchanges, and listed-company compliances.
Nature of Role:
- Full-time, on-site role based at Navi Mumbai.
- High-ownership, strategic role with direct accountability for transaction success.
