Compensation: Up to 2 Cr PA (open for the right candidate)

Position Overview:

-The Group CFO will lead the overall finance function of the organization, overseeing Accounts, Treasury, Taxation, Payroll, Project Finance, and Corporate Finance across multiple business verticals.

- This role is pivotal in driving capital raising (debt, mezzanine, equity), IPO readiness, M&A, and shaping the financial strategy for large-scale renewable energy and infrastructure projects.

- As a strategic partner to the CEO and Board, the Group CFO will ensure strong governance, compliance, and capital efficiency while enabling aggressive business growth through innovative financing solutions.

Key Responsibilities:

Strategic Finance & Fundraising:

- Lead group-wide project finance for renewable energy (Solar, Wind, BESS) and infrastructure verticals.

- Ensure timely availability and efficient utilization of capital to maximize shareholder returns.

- Drive debt funding, structured finance, mezzanine financing, and refinancing strategies.

- Lead preparation and negotiation of term sheets, MoUs, financing agreements, and shareholder agreements.

- Build and manage long-term relationships with banks, DFIs, multilaterals, rating agencies, and capital markets.

- Spearhead IPO preparedness and execution (DRHP, RHP, investor presentations, roadshows, equity raising).

- Lead M&A initiatives to scale up business operations.

Financial Planning & Governance:

- Develop robust financial models, forecasts, and corporate planning frameworks.

- Align capital structure with long-term growth strategy.

- Oversee MIS, board presentations, and investor relations.

- Monitor performance against business plans and drive corrective actions.

- Implement best-in-class corporate governance practices across the group.

Treasury, Accounts, Taxation & Payroll:

- Manage treasury operations, cash flow, hedging, forex, and working capital.

- Lead taxation functions (Income Tax, GST, Transfer Pricing, FEMA, RBI compliance).

- Manage external commercial borrowings, covenant compliance, and security creation.

- Oversee statutory accounts, audits, and compliance under Companies Act, RBI guidelines, and taxation laws.

- Supervise payroll and employee benefits to ensure accuracy and compliance.

Risk, Compliance & Controls:

- Implement robust internal financial controls (IFC) and SOPs.

- Ensure timely debt servicing, covenant compliance, and security creation.

- Conduct risk assessments for projects, financing, and contracts.

- Drive digitization and SAP/ERP implementation across finance functions.

- Support contract structuring for renewable projects with Procurement & Legal.

- Manage SPVs financial structuring, cash flow, fund flows, and compliance with Companies Act and taxation laws.

Team Leadership:

- Lead, mentor, and manage a 15+ member finance team across Accounts, Treasury, Taxation, and Project Finance.

- Build strong coordination with Business Development, Procurement, Legal, and Operations teams.

- Establish SOPs, approval processes, and standardized reporting formats.

- Implement stringent internal controls to prevent and detect financial frauds, ensuring transparency.

Ethics & Governance Commitment:

- Uphold the highest standards of integrity, transparency, and corporate governance.

- Ensure strict alignment with compliance frameworks and zero tolerance for conflicts of interest.

Qualifications & Experience:

- Chartered Accountant / MBA (Finance) / CFA or equivalent; LLB preferred.

- 18-25 years of progressive finance leadership experience, ideally in Renewable Energy, Infrastructure, or EPC sectors.

- Proven track record in raising large-scale debt/structured financing (1,000+ Cr deals).

- Exposure to IPO readiness, equity fundraising, and capital markets.

- Strong background in treasury, taxation, project finance, and corporate governance.

- Hands-on experience in SAP/digitization initiatives preferred.

- Demonstrated success in managing large finance teams (15+ members).
