Role:
Looking for a CFO for a mid-market private equity firm based in Mumbai.
Job Responsibilities:
The CFO will be the senior-most person responsible for finance, fund operations, compliance, taxation and investor reporting. The person will work closely with the Managing Partners and manage a Finance Manager and Fund Administration Manager.
1. Launch and manage Fund:
- Helping design the fund structure.
- Working with legal, tax and regulatory advisors.
- Coordinating with SEBI, trustees, custodians and fund administrators.
- Establishing governance, controls and operating processes.
2. Manage fund finance and accounting:
- The person will oversee fund accounting, NAV reporting, capital calls, distributions, management fee accounting, budgeting, treasury, cash-flow management, taxation and statutory reporting.
3. Support fundraising and investor relationships:
- Preparing financial information and investor reports.
- Managing the fundraising data room.
- Responding to financial due diligence questions.
- Interacting with domestic and international institutional investors.
- Preparing quarterly fund performance, portfolio and ESG reports.
4. Monitor portfolio companies:
- Review the financial performance of portfolio companies.
- Support portfolio valuations.
- Strengthen financial controls and governance.
- Monitor overall fund returns and portfolio economics.
- Support exit planning when an investment is being sold.
5. Handle compliance and governance:
- The person will ensure compliance with SEBI AIF Regulations, taxation and statutory requirements, and audit/investor-reporting requirements.
- The CFO will also coordinate with auditors, regulators, consultants and other external advisors.
The ideal candidate should be:
- A Chartered Accountant with at least 15 years of post-qualification experience.
- Currently working in Private Equity, Venture Capital, AIF or Asset Management.
- Experienced in fund accounting, fund operations, taxation, compliance and investor reporting.
- Strong in SEBI AIF regulations and Indian fund structures.
- Experienced in dealing with institutional investors, auditors and regulators.
- Ideally involved in launching or managing a PE/AIF fund.
- Preferably exposed to co-investments, pledge funds or deal-by-deal structures.
