Chief Financial Officer

Role Summary:

We are seeking a seasoned finance leader with extensive experience in corporate structuring, consolidation, and strategic capital deployment within a developer organization-ideally from leading firms preferably RE, Infra & Power sector.

The CFO will work directly with the CEO and play a pivotal role in driving financial consolidation, strategic capital structuring, tax-efficient upstreaming of funds, and investor/auditor management across multiple Special Purpose Vehicles (SPVs) under a Holding Company structure.

Financial Consolidation & Control:

- Lead and oversee financial consolidation of group entities and SPVs under the HoldCo structure.

- Maintain strong relationships with auditors and drive efficient closure of statutory and internal audits.

- Promote a culture of innovation, compliance, and high performance across the finance function.

Capital Structure & Tax Planning:

- Devise and implement optimal capital structures and tax-efficient cross-funding models across SPVs.

- Create structures to enable tax-neutral upstreaming of funds (dividends, interest, top-ups) to the HoldCo.

- Provide strategic thought leadership on capital deployment, funding strategy, and business growth.

Investor Relations & Fundraising:

- Engage with key investors and financial institutions, aligning capital strategy with long-term business goals.

- Build and maintain strong stakeholder confidence through transparent and data-driven financial narratives.

Strategic Project Evaluation:

- Evaluate and recommend project execution models - EPC vs. Non-EPC - based on financial and strategic impact.

- Support bid strategy and financial evaluation for new transmission projects and potential acquisitions.

Cross-functional Leadership & Collaboration:

- Partner with cross-functional teams including legal, project execution, and business development.

- Enable seamless coordination for commercial evaluations, regulatory compliance, and project execution finance.

Education, Experience, Certification, Exposure, Stakeholder interfaces:

Essential:

- CA/MBA Finance with 20 years of experience

- Prior exposure of working with developer firms - preferably RE, Infra & Power

- Commercial & Contractual insights

- Prior experience of handling financial controlling for greenfield projects

- Strategic finance with experience in handling Investors, fund raise, etc

- Should have exposure of corporate structing, consolidation and strategic capital deployment

Desirable:

- Exposure to structuring in international jurisdictions and cross-border financing.

- Prior exposure of managing stakeholder relations, corporate governance, SEBI guidelines

- Experience of handling FP&A, MIS,

- Balance Sheet, FRC
