The role is required to handle secretarial and compliance requirements on a day-to-day basis. The person is responsible to ensure timely and correct reporting to the regulators and registrars as per the statutory and regulatory requirements and to provide required assistance and coordination with other departments. Duties and Responsibilities - Updating and adhering to NBFC Compliance requirements and assisting in RBI Reporting - Monthly, quarterly, and annual reporting as required - Ensure adherence to Secretarial standards - Filing Forms and Returns with Registrar of Companies - As per the Companies Act or any other statutory requirements - Maintaining Statutory Registers - As per the Companies Act or any other statutory requirements - Preparation of Board Folders, Agenda for meetings, Attendance Registers, and Minutes of various meetings and finalization of Minutes with Board and Committee members' concurrence - Maintenance of Minutes book - Handle and comply with Stock exchange filings, intimations, LODR, and other applicable compliances - Address the queries by stock exchanges - Ensure compliances with CSR requirements - Handle secretarial audit, support other audits viz. Statutory and Internal Audits - Maintenance of Compliance Calendar of the Company - Handle correspondence with RBI - Handle FEMA compliances - Preparation of Annual Reports and Annual Returns - Coordinating with shareholders for AGM/EGM of the Company and on reserved matters if any - Handle borrowings-related loan documentation and execution of the same - Lead the Internal Audit and act as SPOC for Internal Auditors and various functions at Caspian - Legal Drafting and Review - Other compliance-oriented activities Qualifications - Experience: Minimum 6 years of exp as Company Secretary. NBFC experience is an added advantage. - Education: Company Secretary. - Specialized Knowledge /Skills: Good knowledge of the Companies Act, filings with ROC, dealing with other regulators - Professional Certification: NA - Abilities: Good communication skills and to complete the work within provided timelines Travel requirements Moderate Direct reports Individual Contributor
