Position Overview:

We are looking for an experienced Investment Banking professional to lead our Defence & Aerospace vertical, while building an increasing origination footprint. This role owns transactions from structuring through closure and works closely with senior leadership to convert relationships into mandates.

Key Responsibilities:

1. Origination & Client Relationship Management:

- Origination Contribution: Actively originate and convert prospects into mandates within the Defence & Aerospace vertical, working alongside senior leadership and the firm's origination network.

- Mandate Structuring: Draft, negotiate, and finalize Mandate Letters, Engagement Agreements, and fee structures, protecting the firm's commercial interests.

- Client Relationships: Serve as a senior point of contact for promoters, founders, and boards, advising on capital structuring, valuation, and transaction timing.

- Cross-Selling: Identify opportunities to cross-sell equity advisory, structured debt, and capital markets services within existing client relationships.

2. Transaction Execution & Deal Leadership:

- Deal Leadership: Lead end-to-end execution of M&A and fundraising mandates - structuring, valuation, negotiations, due diligence, and documentation.

- Data Room & Due Diligence: Set up and manage Virtual Data Rooms, and coordinate financial, legal, tax, and commercial due diligence to resolve bottlenecks.

- Collateral Oversight: Supervise the quality of financial models, valuation analyses, pitch books, CIMs, and management presentations produced by the deal team.

- Definitive Documentation: Work with legal counsel to negotiate and finalize SPAs, SSAs, SHAs, and other definitive agreements.

3. Market Intelligence & Investor Networks:

- Market Tracking: Track market trends and Defence & Aerospace sector developments relevant to live and prospective mandates.

- Investor Relationships: Build and maintain relationships with PE funds, strategic investors, family offices, and VCs in support of live transactions.

4. Team Leadership & People Development:

- Mentorship: Mentor and manage Associates and Managers within deal teams, reviewing their work and supporting their development.

- Team Culture: Contribute to a performance-oriented culture within the vertical.

5. Financial Oversight & Governance:

- Quality Review: Review financial models, valuations, and deal economics prepared by the team for accuracy and market alignment.

- Compliance: Ensure transactions comply with regulatory, governance, and ethical standards.

Key Performance Indicators (KPIs):

- Deal Closure Rate: Percentage of mandates successfully executed and closed.

- Origination Contribution: Value and number of mandates originated or co-originated.

- Timeline Adherence: Speed and efficiency in moving transactions from mandate sign-off to closure.

- Client Satisfaction Score: Post-transaction feedback on execution quality and professionalism.

Qualifications & Experience:

- Education: MBA from a Tier-1 business school, Chartered Accountant (CA), or CFA.

- Experience: 10 to 12+ years of core investment banking experience within a reputed IB firm, institutional platform, or boutique advisory house, including substantial coverage of defence, aerospace, and allied engineering clients.

- Track Record: A proven history of successfully closing mid-to-large cap M&A and fundraising transactions. Must be able to demonstrate an extensive list of closed deals, together with evidence of personally originated revenue and, ideally, prior ownership of a revenue budget or practice P&L.

- Sector Expertise: Deep domain knowledge of defence and aerospace value chains (platforms and systems integration, aerostructures and precision components, avionics and defence electronics, MRO, space and unmanned systems), working familiarity with MoD procurement and the DAP framework, offsets, indigenization and licensing requirements, FDI norms in defence, and export-control regimes, and active networks among Indian and global OEMs, DPSUs, strategic acquirers, PE and defence-focused funds, and promoter groups in the sector.

- Skills: Strong client-origination and relationship management skills, with hands-on experience in transaction execution, deal structuring, negotiation, financial analysis, and managing M&A/fundraising mandates from origination through closure.
