Company:

Capwise Financial Services Private Limited

Position Title:

Senior Vice President - Investment Banking (Defence & Aerospace)

Company Overview:

Capwise Financial Services is a full-service investment banking and financial advisory firm that helps businesses raise capital, execute strategic transactions, and navigate complex financial decisions across domestic and cross-border markets. With experience spanning 200+ debt transactions and 35+ equity and M&A deals, the firm combines a strong origination network with an active deal pipeline and a partner-led model, where sector heads own their client franchise, revenue budgets, and teams, supported by Capwises broader platform, central origination network, and execution capabilities.

Position Overview:

We are looking for a senior, strategic Investment Banking leader to own the Defence & Aerospace vertical end-to-end, origination, revenue, execution governance, and team leadership. This role carries P&L accountability for the vertical and is the firm's senior-most relationship owner with clients and investors in the sector.

Key Responsibilities:

1. Origination & Client Relationship Management:

- Origination Ownership: Own end-to-end origination for the Defence & Aerospace vertical, building and converting a high-value pipeline through personal network and relationship-led sourcing.

- Revenue Accountability: Carry primary accountability for mandate wins and fee revenue generated by the vertical.

- CXO & Board Relationships: Act as the firm's senior-most relationship owner with promoters, founders, boards, and institutional investors, shaping their strategic capital and exit decisions.

- Market Positioning: Represent the firm and shape its origination strategy across investor forums, industry events, and the broader ecosystem.

2. Transaction Execution & Deal Leadership:

- Portfolio Oversight: Oversee execution across multiple concurrent mandates within the vertical, ensuring quality, pace, and compliance across the full deal lifecycle.

- Complex Deal Leadership: Personally lead the vertical's most complex, high-value transactions, stepping in on structuring, negotiation, and closing where needed.

- Escalation & Risk Resolution: Act as the final escalation point for execution risks, deal-breakers, and negotiation impasses.

3. Market Intelligence & Investor Networks:

- Market Strategy: Set the vertical's market intelligence agenda - tracking macro trends, regulatory shifts, and consolidation themes that inform origination strategy.

- Strategic Investor Relationships: Build and own strategic relationships with marquee PE funds, strategic investors, family offices, and institutional investors.

4. Team Leadership & People Development:

- Team Building: Build, lead, and scale the vertical's team - including Vice Presidents, Managers, Associates, and Analysts.

- Succession & Development: Own succession planning, performance management, and career development for the team.

- Culture: Set the vertical's culture, accountability standards, and capability-building roadmap.

5. Financial Oversight & Governance:

- P&L Ownership: Own the vertical's overall financial performance, including revenue, deal economics, and profitability.

- Governance Representation: Ensure regulatory, governance, and ethical compliance across all transactions, and represent the vertical in firm-wide governance reviews.

Key Performance Indicators (KPIs):

- Revenue Generation: Total fee revenue generated by the vertical against target.

- Vertical P&L Growth: Year-on-year growth in the vertical's profitability and deal value closed.

- Origination-to-Mandate Conversion: Percentage of relationships converted into signed, revenue-generating mandates.

- Team Development: Retention, promotion, and capability growth of the vertical's team.

Qualifications & Experience:

- Education: MBA from a Tier-1 business school, Chartered Accountant (CA), or CFA.

- Experience: 13 to 15+ years of core investment banking experience within a reputed IB firm, institutional platform, or boutique advisory house, including substantial coverage of defence, aerospace, and allied engineering clients.

- Track Record: A proven history of successfully closing mid-to-large cap M&A and fundraising transactions. Must be able to demonstrate an extensive list of closed deals, together with evidence of personally originated revenue and, ideally, prior ownership of a revenue budget or practice P&L.

- Sector Expertise: Deep domain knowledge of defence and aerospace value chains (platforms and systems integration, aerostructures and precision components, avionics and defence electronics, MRO, space and unmanned systems), working familiarity with MoD procurement and the DAP framework, offsets, indigenization and licensing requirements, FDI norms in defence, and export-control regimes, and active networks among Indian and global OEMs, DPSUs, strategic acquirers, PE and defence-focused funds, and promoter groups in the sector.

- Skills: Proven business-development and client-origination ability, commercial and P&L management judgment (pricing, resourcing, cost control), master-level negotiation skills, strong understanding of legal documentation/deal structures, and sharp analytical acumen.
