Position Overview:

We are seeking an experienced Investment Banking professional for our Consumer vertical. Unlike many investment banking roles, this position is primarily focused on transaction execution rather than cold origination. The firm will support deal sourcing and introductions. Your role begins once a prospect is identified or a warm introduction is made. You will present the firm's execution capabilities, finalize mandate documents, and lead the end-to-end execution of fund-raising (equity/debt) and Mergers & Aquisitions (M&A) transactions.

Key Responsibilities:

1. Mandate Closure & Onboarding:

- Pitch to Win: Partner with the origination team during initial introductions to present deep sectoral knowledge and bespoke execution strategies that convert prospects into clients.

- Mandate Structuring: Draft, negotiate, and finalize Mandate Letters, Engagement Agreements, and fee structures, ensuring the commercial interests of the firm are protected.

2. End-to-End Deal Execution:

- Transaction Management: Lead and oversee the entire lifecycle of capital raising (PE, IPO, Structured Finance) and M&A (buy-side, sell-side, joint ventures) transactions.

- Financial Modeling & Valuation: Supervise the creation of complex financial models, valuation analyses (DCF, comparable companies, precedent transactions), and investment thesis formulations.

- Collateral Preparation: Ensure the highest quality production of pitch books, Confidential Information Memorandums (CIMs), Teasers, and Management Presentations.

3. Due Diligence & Deal Closing:

- Data Room Management: Setup and oversee Virtual Data Rooms (VDR), managing the flow of information between clients, investors, and buyers.

- Due Diligence Coordination: Lead the financial, legal, tax, and commercial due diligence processes, actively resolving deal-breakers and bottlenecks.

- Definitive Documentation: Collaborate with legal counsels to negotiate and finalize Share Purchase Agreements (SPA), Share Subscription Agreements (SSA), Shareholders' Agreements (SHA), and other definitive transaction documents.

4. Team Leadership & Stakeholder Management:

- Pod Leadership: Manage, mentor, and maximize the productivity of a dedicated team of Managers, Associates, and Analysts within your vertical.

- Client Management: Act as the primary, trusted point of contact for C-suite executives and promoters throughout the execution cycle, managing expectations and maintaining momentum.

Key Performance Indicators (KPIs):

- Mandate Conversion Rate: Percentage of warm introductions/leads successfully converted into signed mandates.

- Deal Closure Rate (Success Ratio): Percentage of signed mandates successfully executed and closed.

- Timeline Adherence: Efficiency and speed in moving a transaction from mandate sign-off to definitive agreement execution.

- Client Satisfaction Score: Post-transaction feedback from clients regarding execution quality and professionalism.

Qualifications & Experience:

- Education: MBA from a Tier-1 business school, Chartered Accountant (CA), or CFA.

- Experience: 7 to 9+ years of core investment banking experience within a reputed IB firm, institutional platform, or boutique advisory house.

- Track Record: A proven history of independently closing mid-to-large cap M&A and fundraising transactions. Must be able to demonstrate an extensive list of closed deals where you acted as a primary execution lead.

- Sector Expertise: Deep domain knowledge, regulatory understanding, and active investor networks within the Consumer vertical.

- Skills: Strong negotiation skills, sound understanding of legal documentation/deal structures, and sharp analytical acumen.
