Role Overview

CapitalSquare Advisors is seeking a highly experienced and meticulous Company Secretary / Legal Professional to lead our Merchant Banking compliance and execution team. You will be responsible for overseeing the end-to-end regulatory lifecycle of capital market transactions, ensuring absolute adherence to SEBI guidelines and the Companies Act while managing a team of professionals.

Key Responsibilities:

- Transaction Execution: Lead the drafting of offer documents (DRHP, RHP, Prospectus, LOF) for Main Board IPOs, SME IPOs, Rights Issues, Open Offers, Buybacks, and Delisting.

- Due Diligence: Conduct thorough due diligence of corporate records; travel to client locations as necessary to ensure compliance and identify potential risks.

- Regulatory Liaison: Act as the primary point of contact with SEBI, BSE, NSE, NSDL, CDSL, and other regulatory bodies to ensure smooth approval processes.

- Stakeholder Management: Coordinate with external intermediaries, including Legal Counsels, Registrars, Auditors, and Share Transfer Agents.

- Advisory & Governance: Advise clients on Corporate Governance standards and the implementation of policies required under SEBI (LODR) and the Companies Act, 2013.

- Team Leadership: Manage and mentor a team of junior associates, overseeing documentation quality and project timelines.

Technical Competencies

The ideal candidate must possess an expert-level understanding of the following:

- SEBI Regulations: ICDR, LODR, SAST, and PIT.

- Corporate Laws: Companies Act, 2013, and FEMA.

- Financial Literacy: Sound knowledge of Income Tax implications related to capital market transactions.

Candidate Profile:

- Experience: Minimum 8 years in a Merchant Banking or Capital Markets environment.

- Communication: Exceptional oral and written communication skills with a flair for drafting legal/regulatory documents.

- Soft Skills: Proven ability to handle teams, work under tight deadlines, and present complex information clearly to clients.

- Mobility: Willingness to travel for site visits and client due diligence.
