- The Compliance Secretary (CS) will handle corporate secretarial and regulatory compliance matters for Capitalmind Technology Solutions Pvt. Ltd.
- The role includes board coordination, statutory filings, SEBI-related compliance support, documentation excellence, and adherence to governance standards in a regulated financial-services environment.
Key Responsibilities
- Manage corporate secretarial responsibilities for Capitalmind Technology Solutions Pvt. Ltd. in accordance with the Companies Act, Secretarial Standards, and applicable regulations.
- Coordinate Board, Committee, and shareholder meetings - prepare notices, agendas, presentations, minutes, and resolutions.
- Maintain all statutory registers, records, and entity-level documentation (digital and physical) in a compliant manner.
- Handle timely ROC filings, event-based filings, and other statutory compliances.
- Maintain compliance calendars, trackers, and governance schedules for the entity.
- Assist in drafting and reviewing basic legal documents, agreements, and internal policies.
- Liaise with external legal advisors, secretarial consultants, auditors, and regulators.
- Coordinate internal, statutory, and SEBI audit requirements - prepare documentation, respond to queries, and support closure of observations.
- Ensure accurate MIS and dashboards for secretarial and regulatory compliance activities.
- Support enhancements to governance processes, record-keeping standards, and compliance discipline within the entity.
Required Qualifications & Experience
- Certified Company Secretary (ICSI) - mandatory.
- 7-8 years of corporate secretarial and compliance experience.
- Exposure to SEBI-regulated environments (PMS, Mutual Funds; AIF exposure is a plus).
- Strong working knowledge of Companies Act, secretarial standards, and ROC filings.
- Basic understanding of legal documentation and governance processes.
