Role Overview:
A reputed law firm is looking to engage experienced Capital Markets legal professionals with strong ECM and/or DCM transaction exposure. The role involves end-to-end execution of high-value capital markets transactions, regulatory advisory for listed entities and intermediaries, and close interaction with regulators, stock exchanges, and market participants.
This opportunity is ideal for professionals who can independently handle deal execution, regulatory advisory, and stakeholder coordination in a fast-paced capital markets environment.
What You'll Work On:
Fund-Raising & Capital Market Transactions:
- Advise on and execute equity capital markets transactions, including IPOs, QIPs, rights issues (renounceable and non-renounceable), private placements, FCCBs, buybacks, and takeovers.
- Handle public issues of bonds and debentures, including domestic and international debt offerings.
- Lead and support legal due diligence, issue structuring, and transaction execution.
- Draft, review, and finalize RHP/DRHP/Offer Documents, placement memoranda, and ancillary transaction documents.
Advisory & Regulatory Compliance:
- Provide ongoing advisory support on SEBI and Stock Exchange regulations, including LODR, ICDR, PIT, and SAST.
- Handle day-to-day compliance and continuous disclosure requirements for listed companies and market intermediaries.
- Prepare and review regulatory submissions, filings, and responses to SEBI and Stock Exchanges.
- Advise on listing eligibility, corporate actions, and post-listing compliance.
Debt Capital Markets (DCM):
- Advise issuers, underwriters, banks, investors, and debenture trustees on debt offerings.
- Support structuring and documentation for bonds, debentures, and other debt instruments.
- Coordinate with trustees, arrangers, and regulators through the lifecycle of debt issuances.
Equity Capital Markets (ECM):
- Advise issuers and intermediaries on IPOs, rights issues, private placements, and secondary offerings.
- Support takeover and buyback transactions from a capital markets regulatory perspective.
- Work closely with merchant bankers, registrars, auditors, and stock exchanges.
What You'll Bring:
- 3-8 years of substantive experience in Capital Markets (ECM/DCM) from a reputed law firm.
- Proven experience in end-to-end deal execution on equity and/or debt capital markets transactions.
- Strong command over SEBI regulations, including LODR, ICDR, SAST, PIT, and related circulars.
- Excellent drafting skills, particularly offer documents, regulatory filings, and advisory notes.
- Strong stakeholder management, with experience liaising with regulators, stock exchanges, and transaction counterparties.
- Ability to independently manage matters, timelines, and client expectations.
