Job Description: Job Summary: As a CA cum CS, you will be responsible for managing and ensuring compliance with financial, accounting, and legal requirements within the organization. You will play a critical role in financial management, corporate governance, and legal compliance, providing valuable expertise to support the organization's growth and success. Responsibilities: 1. Financial Management: - Prepare and maintain financial statements, including profit and loss statements, balance sheets, and cash flow statements. - Conduct financial analysis, budgeting, and forecasting to support strategic decision-making. - Implement and maintain internal controls to safeguard financial assets and ensure compliance with applicable laws and regulations. - Manage taxation matters, including tax planning, filing of tax returns, and liaising with tax authorities. 2. Corporate Governance: - Ensure compliance with company laws, regulations, and corporate governance standards. - Prepare and file necessary forms, returns, and reports with regulatory authorities. - Assist in organizing and conducting board meetings, annual general meetings, and other corporate events. - Maintain company records, including minutes of meetings and statutory registers. 3. Legal Compliance: - Stay up-to-date with relevant laws, regulations, and legal requirements affecting the organization. - Provide guidance and support on legal matters, such as contract drafting, review, and negotiation. - Ensure compliance with labor laws, intellectual property regulations, data protection laws, and other legal obligations. - Coordinate with external legal counsel as necessary. 4. Audit and Assurance: - Coordinate and manage internal and external audits, ensuring timely completion and compliance with audit recommendations. - Conduct risk assessments and implement appropriate controls to mitigate financial and operational risks. - Review and evaluate financial processes and internal controls to identify areas for improvement. - Provide support during due diligence activities, mergers, acquisitions, and other business transactions. 5. Advisory and Consultation: - Provide financial and legal advice to management, guiding decision-making and strategic planning. - Assist in the development and implementation of corporate policies, procedures, and guidelines. - Advise on corporate structuring, capital restructuring, and financing options. - Offer guidance on regulatory changes and their potential impact on the organization. Qualifications and Skills: - Qualified Chartered Accountant (CA) and Company Secretary (CS). - In-depth knowledge of financial accounting principles, taxation, and auditing standards. - Strong understanding of corporate laws, regulations, and compliance requirements. - Excellent analytical, problem-solving, and decision-making skills. - Proficient in financial analysis tools, accounting software, and MS Office Suite. - Effective communication and interpersonal skills. - Ability to work independently, handle multiple tasks, and meet deadlines.
