Role Summary:
The Company Secretary & Compliance Officer will be responsible for ensuring end-to-end statutory, regulatory, and corporate governance compliance of the Company. The role will play a critical part in IPO-related activities, board and shareholder governance, and liaison with regulators, promoters, and external advisors, supporting the company's growth as a professionally governed organization.
Key Responsibilities:
- Ensure compliance with Companies Act, 2013, SEBI (LODR) Regulations, and applicable corporate laws
-Act as Company Secretary and Compliance Officer for the organization
- Manage end-to-end IPO compliance activities including documentation and coordination with internal and external stakeholders
- Maintain statutory registers, records, and ensure timely filings with MCA, ROC, and stock exchanges
- Draft agendas, notices, resolutions, minutes, and governance documents for Board, Committee, AGM, and EGM meetings
- Coordinate and convene Board, Committee, and General Meetings including e-voting processes
- Ensure timely filing of statutory forms such as MGT-7, AOC-4, DIR-3 KYC, PAS-6, and other regulatory returns
- Handle issuance, transfer, and maintenance of shareholding and cap table records
- Ensure compliance with Secretarial Standards SS-1 and SS-2
- Liaise with promoters to establish and strengthen corporate governance frameworks and policies
- Act as point of contact with legal advisors, auditors, regulators, and government authorities
- Provide regulatory guidance and compliance support to Directors and senior management

Required Skill Sets:
- Strong knowledge of Companies Act, SEBI regulations, and corporate governance norms
- Hands-on experience in IPO processes and listed company compliance
- Excellent drafting skills for legal, statutory, and governance documents
- Strong understanding of Secretarial Standards and compliance calendars
- Ability to interpret regulations and provide practical guidance to management
- Effective communication, coordination, and stakeholder management skills
- High attention to detail and strong organizational abilities
- Professional maturity, discretion, and compliance-oriented mindset
Qualifications:
- Qualified Company Secretary (Member of ICSI)
- Prior experience in IPOs or listed company environment preferred
