About the role:

Technology M&A Integration & Separation will lead complex technology due diligence, post-deal integration, and carve-out/separation engagements for clients across sectors. The role requires deep expertise in IT strategy, enterprise architecture, digital transformation, and M&A value creation. The Manager / Associate Director will oversee multi-disciplinary teams, work closely with CXOs, and drive delivery excellence, business development, and practice growth within BDOs Technology M&A Advisory practice.

Job Description:

1. Engagement Delivery & Execution

- Lead end-to-end Technology Integration and Separation programmes across IT infrastructure, applications, cybersecurity, data, digital, and operations.

- Oversee development of Day 1 readiness plans, transition roadmaps, TSA schedules, and post-close integration/separation blueprints.

- Manage workstreams delivering IT due diligence, synergy assessments, technology cost modelling, and standalone cost build-up (TSA, TSAs exits, cost take-out).

- Identify operational, technology, cybersecurity and transitional risks; develop mitigation strategies.

- Provide recommendations on the target IT landscape, as applicable, Assess the IT related opportunities and risks, develop mitigate strategy for the same

- IT spend analysis (including vendor contract reviews for any hidden transactional costs), provide recommendations on the cost efficiencies

- IT Benchmarking for key performance indicators leveraging the information shared in memorandums and using research databases

- Ensure project governance through PMO frameworks, issue/risk tracking, and senior stakeholder updates.

2. Client Leadership & CXO Advisory

- Serve as a trusted advisor to CIOs, CTOs, CISOs, CFOs, and deal teams.

- Provide strategic guidance on technology architecture, operating models, transformation prioritization, and integration/separation sequencing.

- Facilitate executive workshops, Steering Committee reviews, and Board-level technology briefings.

3. Business Development & Practice Growth

- Lead proposal development, pitch presentations, and commercial structuring for M&A technology engagements.

- Develop new solutions in technology diligence, TSA management, IT operating models, and digital value creation.

4. People Leadership & Team Development

- Lead and mentor multi-level teams (Associates to Managers/Senior Managers).

- Drive capability building in M&A technology, integration methodologies, digital, cybersecurity, cloud, and ERP transformations.

- Conduct performance assessments, provide continuous feedback, and support team upskilling.

- Foster a culture of quality, innovation, collaboration, and client-centricity within the practice.

5. Quality, Risk & Compliance

- Ensure engagements adhere to BDOs global quality standards and risk management protocols.

- Review key deliverables, model outputs, schedules, and client reports for accuracy, clarity, and commercial soundness.

- Manage contractual requirements, timelines, budgets, billing, and recovery.

Skillset Required:

Technical skills :

- Have experience in planning & implementation of atleast 3-5 integration/separations of various front office and back office functions (Understanding of various facets of mergers, acquisitions, and divestiture transactions would be helpful)

- Have led strategic project management engagements - strong PMO skills and the ability to work in a high pressure deals environment

- Ability to understand complex deal situation and its implication on the clients / targets business model

- Decent knowledge about operations and processes across different functions in an organisation

- Strong Microsoft Excel and Powerpoint skills
