Position Purpose:
Corporate Secretarial Role:
1. Work on the secretarial activities for private limited companies of the Bayer Group including projects of Corporate Secretarial viz. merger related work, incorporation of joint venture companies, special purpose vehicles for BLF, rights issue, post-merger and post incorporation activities etc.
2. Support as needed for Compliance related topics from time to time
3. Act as a Center of Excellence for analyzing the new provisions under the Companies Act and SEBI LODR, SEBI PIT and support the team for such activities and dissemination of information.
Key Working Relations (internal / external):
The position reports to Company Secretary & Head - Corporate Governance, Data Privacy & Compliance - India
- Advises Board members of the said private companies on various Corporate Governance matters.
- Interacts with Finance, Accounts, Taxation team
- Deals externally with Statutory auditors & External Consultants.
Key Tasks & Responsibilities:
- Support secretarial functions for private limited companies within the Bayer Group in India
- Ensure highest standards of Corporate Governance by following compliance of Corporate and other applicable laws applicable to above legal entities
- Organize board meetings of the above legal entities and ensuring the proceedings are conducted as per Companies Act, 2013.
- Ensure timely filing of statutory forms & returns with Ministry of Corporate Affairs and maintain statutory records in line with applicable legislations.
- Co-ordinating with the Statutory Auditors and ensuring that all audit queries are adequately handled or resolved for the above legal entities.
- Supporting for specific corporate secretarial projects viz. Merger related activities, Rights Issue, RBI related matters etc.
- Supporting for Compliance related topics from time to time.
Skills & Qualifications (education, skills, experience):
- Qualified Company Secretary from Institute of Company Secretaries of India possessing 3-4 of years of experience with valid membership number. An LLB degree is considered an advantage for this role but is not mandatory.
- Experience in the field of handling compliances and having thorough understanding of corporate laws.
- An individual with personal confidence and decision-making skills
- Good interpretation skills and ability to efficiently work in cross-functional teams
- Ability to manage external stakeholders.
- Strong time management, prioritization, and organization skills
Note: This position is for Bayer and will be on Third Party Payrolls for a period of 1 year.
