- To ensure the organization remains fully compliant with all applicable corporate laws and regulatory requirements, and to facilitate effective corporate governance by managing secretarial responsibilities, Board support functions, and statutory documentation in accordance with the Companies Act, 2013.

- Ensure timely compliance with provisions under the Companies Act, 2013.

- Maintain and update statutory registers, records, and minutes (Board Meetings, General Meetings, Committee Meetings).

- Prepare and file necessary forms and returns with the Registrar of Companies (ROC) through MCA portal.

- Draft and issue notices, agendas, and minutes for Board, Committee, and Shareholders' meetings.

- Corporate Governance & Advisory

- Advise management and Board on corporate governance best practices.

- Ensure adherence to internal policies and support in framing new governance policies.

-Support in drafting resolutions and other board-related documents.

- Regulatory and Legal Compliance

- Monitor compliance under FEMA, Labour Laws, and other applicable statutes for a non-listed entity.

- Ensure compliance with applicable RBI filings (if any), CSR provisions, and director disclosures (MBP-1, DIR-8, etc.).

- Coordinate with internal/external auditors and regulatory authorities as needed.

- Stakeholder Coordination

- Coordinate with government authorities, auditors, legal advisors, and consultants.

- Manage correspondence with ROC, Regional Directors, and other government departments.

- Liaise with bankers, shareholders (if applicable), and internal departments for statutory matters.

- Internal Process Improvements

- Develop and implement systems for better document management, tracking, and reporting.

- Automate secretarial records and create compliance calendars to improve workflow and compliance monitoring.

Key Skills:

- In-depth knowledge of Companies Act, 2013.

- Good drafting, legal interpretation, and communication skills.

- Proficient in MCA21, compliance tools, MS Office.

- Strong attention to detail, ethical, and discreet with sensitive information
