Position Summary

Role : Secretarial

Reporting to : Company Secretary

Place of Posting : Mumbai HO

Job Purpose:

The candidate shall be responsible for making sure that the Company complies with the relevant provisions of the Companies Act, 2013 and SEBI rules and regulations, which are applicable to an equity / high value debt listed company. The Company's statutory records are maintained and updated properly and for organizing board / committee / shareholders' meetings, writing minutes, and ensuring filing of relevant returns with MCA, ROC, stock exchanges in time.

Key Responsibilities:

- Should be independently able to prepare agenda and minutes for Board / Committee / Shareholders' meetings

- Ensuring end to end compliance with provisions of Companies Act, SEBI Listing Regulations and SEBI NCS Regulations

- Implementing and enhancing Secretarial and Governance practices of the Company in line with the best industry practices

- Should be well aware of latest developments happening in company law and should be able to cascade the regulatory developments with relevant teams.

- Liaison with Registrar of Companies, MCA, BSE, NSE, SEBI and other Govt. authorities and ensuring all secretarial filings are done in time without any exception.

- Coordinating with external lawyers, auditors (statutory and secretarial) and consultants for Secretarial matters.

- Monitoring of compliance with SEBI prohibition of insider trading regulations.

- Maintenance of statutory registers and other records as per the Companies Act, SEBI Listing Regulations and SEBI NCS Regulations.

Key Accountabilities:

- Should ensure that all the agendas and minutes are accurate

- Should ensure that all the filings with ROC, MCA, BSE, NSE and SEBI are accurate and filed within the time limits prescribed

- Assisting Company Secretary in developing new systems, processes and MIS for Secretarial function.

Required Experience

- 8-10 years of relevant experience

Required Qualification

- CS, LL.B (preferred)

Technical Competencies

- Excellent interpersonal skills, able to communicate with a wide range of people

- Good knowledge of Companies Act and other Corporate Laws

- Regulatory Compliance, Corporate Law, CS, Legal Jobs in BFSI.

- Legal Advice, Legal Compliance, Company Secretarial Work, Law, SEBI Regulations

- Timely completion of tasks
