Secretarial Function: - Will be the appointed 'Company Secretary', handling end-to-end responsibility of the Secretarial function. - The incumbent will handle all aspects of secretarial activity including Board interactions and secretarial activity of the Funds under Management and Special Purpose Vehicles (SPVs). - Ensuring meetings are effectively organised and minuted for the Company, Funds under Management and SPVs. - Liaising with internal teams to plan meetings. - Ensuring creation, administration, and closure for SPVs & Fund. - Ensuring and maintaining effective records and administration. - Upholding legal requirements, if required. - Communication and correspondence. Compliance Function: - Will be the appointed 'Compliance Officer'. - Ensure that the company complies with all laws, regulations as applicable. - Compliance monitoring - SEBI and other statutory compliance monitoring. SEBI: Reporting under SEBI (Alternative Investment Funds) Regulations 2012 ("AIF Regulations"). Trustee: Filing of Annual Compliance Test Reports and quarterly compliance of SEBI Regulation report. ICICI Bank; Filing of Monthly Compliance Report (monthly & quarterly) and also providing information as and when required. Income Tax: FATCA and CRS Reporting. Providing Quarterly compliance certificate and compliance progress report to the Audit Committee. Ensuring Company's policies and compliances are updated and in order.
