Key Responsibilities:
Entity Incorporation & Compliance.
- Manage end-to-end incorporation of Companies, LLPs, and other business entities, ensuring full statutory compliance.
- Liaise with MCA/ROC for incorporations, amendments, and related filings.
Corporate Governance & Meetings.
- Coordinate and manage Board, Committee (Audit, NRC, CSR), AGM, and EGM meetings.
- Prepare agendas, minutes, resolutions, and statutory registers in compliance with the Companies Act, 2013.
ROC & Statutory Filings.
- Prepare and file forms, returns, and annual filings with the Registrar of Companies (ROC).
- Handle XBRL filings and ensure timely, accurate documentation for all entities.
Documentation & Drafting.
- Draft resolutions, notices, agreements, shareholder communications, and regulatory responses.
- Prepare Board's Report, Annual Report, and other secretarial documentation.
Securities & Transactional Compliance.
- Manage share transfers, buy-backs, rights issues, and private placements.
- Handle amendments to MOA/AOA, registered office changes, name/object clause updates, and charge filings.
FEMA & RBI Compliances.
- File FC-GPR, FC-TRS, and FLA returns for companies with foreign investments.
- Ensure compliance with FEMA and RBI guidelines.
- Regulatory Updates & Stakeholder Coordination.
- Stay updated with corporate law, SEBI, and secretarial standards.
- Collaborate with internal teams, auditors, and external consultants to ensure complete compliance.
Desired Candidate Profile.
- Qualified Company Secretary (CS) with 2-5 years of relevant experience in corporate secretarial and compliance roles.
- Experience in a consulting firm or managing multiple group entities preferred.
- Strong understanding of Companies Act, 2013, FEMA, RBI, and SEBI regulations.
- Proficient in MCA portal, RBI compliance tools, and XBRL filing.
- Excellent drafting, communication, and stakeholder management skills.
- Self-driven, detail-oriented, and capable of handling multiple priorities independently.
