Role Overview

The Associate Director - PMI will play a critical leadership role in driving end-to-end post-merger and carve-out engagements. The role involves defining integration strategies, designing operating models, managing complex integration programs, and working closely with senior stakeholders to deliver value realization and synergies across transactions.

Key Areas of Responsibility:


Post-Merger Integration (PMI) Strategy:

- Define and execute integration strategies, including Operating Model blueprinting.

- Develop comprehensive Day 1, Day 100, and long-term integration plans.

- Establish integration governance, decision frameworks, and escalation mechanisms.

Integration Project Management

- Lead end-to-end integration initiatives across multiple functional workstreams.

- Manage risks, dependencies, and issues across Finance, HR, IT, Operations, and Support functions.

- Track and report synergies, value realization, and integration milestones.

- Coordinate with functional owners and leadership teams to ensure timely execution.

Carve-Out & Divestiture Management

- Set up and manage the Divestiture Management Office (DMO).

- Identify separation considerations, stand-alone cost structures, and operational readiness.

- Assess managements carve-out and stand-alone plans.

- Design and manage Transitional Service Agreements (TSAs) and exit strategies.

Pre-Deal Operational Assessment & Synergy Planning

- Conduct pre-deal operational assessments to evaluate integration readiness and risks.

- Lead synergy identification, quantification, and validation across functions.

- Support transaction teams with operational inputs during due diligence.

Key Responsibilities:

- Lead and deliver complex post-merger integration engagements across multiple industry sectors.

- Design integration blueprints, synergy tracking models, and governance frameworks.

- Partner with senior client stakeholders to define integration strategy, operating models, and execution roadmaps.

- Drive cross-functional workstreams including Finance, HR, IT, Operations, and Corporate Functions.

- Provide strategic guidance and hands-on execution support throughout the integration lifecycle.

Candidate Profile (Indicative)

- 10 - 14+ years of experience in PMI, Transaction Advisory, Strategy Consulting, or Corporate Development.

- Strong expertise in post-merger integrations, carve-outs, and synergy realization.

- Proven stakeholder management experience at CXO and leadership levels.

- Ability to manage complex, multi-workstream programs in high-pressure environments.

- Prior experience with consulting firms, Big 4, or in-house M&A teams preferred.
