
Company Secretary - Associate Director
We are seeking an accomplished and strategic Company Secretary (Associate Director) to lead the Corporate Secretarial and Governance function for the India legal entity. The role will be responsible for ensuring the highest standards of corporate governance, statutory compliance, regulatory adherence, board management, and stakeholder advisory within a complex multinational environment.
Key Responsibilities:
- Lead the Corporate Secretarial function and ensure compliance with all applicable provisions of the Companies Act, corporate governance regulations, and secretarial standards.
- Serve as the primary advisor to the Board of Directors, Committees, and senior management on governance, regulatory, and compliance matters.
- Manage end-to-end Board and Committee processes including agenda preparation, board papers, meeting coordination, minutes, resolutions, and action tracking.
- Ensure timely completion of all statutory filings, disclosures, returns, and regulatory submissions with MCA, RBI, and other regulatory authorities.
- Oversee FEMA compliances including foreign remittances, Overseas Direct Investments (ODI), Foreign Liabilities and Assets (FLA) reporting, and related regulatory requirements.
- Drive Corporate Social Responsibility (CSR) governance, compliance, reporting, and Board-level oversight.
- Lead secretarial audits, compliance reviews, and governance assessments while ensuring closure of observations and recommendations.
- Provide strategic support for mergers, acquisitions, restructuring, entity integrations, due diligence, and regulatory approvals.
- Partner with legal, finance, tax, compliance, and business teams to ensure seamless execution of corporate actions.
- Monitor changes in corporate laws, regulatory frameworks, and governance standards and proactively advise leadership on implications.
- Develop and implement governance frameworks, policies, SOPs, and compliance monitoring mechanisms.
- Drive automation, digitization, and process improvement initiatives within the corporate secretarial function.
- Manage relationships with external regulators, auditors, consultants, and legal advisors.
- Build and mentor high-performing secretarial and compliance teams.
Qualifications:
- Qualified Company Secretary (Member of ICSI) - Mandatory.
- Bachelor's Degree in Commerce, Law, Business Administration, or related discipline.
- LLB or equivalent Law Degree preferred.
- Additional certifications in Corporate Governance, Compliance, Risk Management, or Corporate Law will be an advantage.
Experience:
- 20-25 years of relevant experience in Corporate Secretarial, Governance, and Compliance functions.
- Proven experience in multinational corporations, large corporate houses, consulting firms, or leading law firms.
- Demonstrated track record of managing Board governance, regulatory compliance, and complex corporate transactions.
- Experience working with senior leadership teams and Board members in large organisation.
