- Author institutional-grade Investment Committee (IC) and Board notes covering macroeconomic drivers, industry trends, company operations, financial health, risk factors, and strategic rationale.
2. End-to-End Deal Execution & Due Diligence:
- Lead and manage the entire transaction lifecycle from screening through to post-closing integration.
- Drive the financial due diligence (FDD) process, setting rigorous diligence agendas and synthesizing findings to identify valuation adjustments or deal risks.
- Coordinate operational, tax, and legal due diligence workstreams alongside internal teams and external advisors.
- Structure and prepare term sheets, definitive agreements (SHA, SPA, SSA), and transaction documentation in coordination with Legal, Secretarial, and Compliance teams.
- Manage regulatory filings, approval processes, compliance clearances, share issuance/transfers, and escrow/fund disbursements.
3. Portfolio Monitoring & Governance:
- Periodically engage with executive leadership and founders of investee companies to evaluate operational trajectories, governance, and operating environments.
- Monitor operational metrics and financial performance:
- Unlisted Investments: Review semi-annual/annual performance against business plans presented at the IC stage, re-calculate IRRs, and prepare executive review decks.
- Listed Holdings: Track quarterly performance and market valuation shifts.
- AIFs / Funds: Track quarterly NAVs, capital calls, distributions, and portfolio health; prepare consolidated bi-annual IC reviews (by June 30 and November 30).
- Maintain auditable deal archives including IC/Board approvals, executed agreements, NDAs, DD reports, and regulatory documentation.
4. Ecosystem Business Development:
- Identify commercial synergies across prospective and evaluated pipeline companies where no prior banking relationship exists.
- Build business cases for strategic collaboration, validate feasibility with internal business leaders, and facilitate senior-level promoter introductions to initiate new institutional banking relationships.
Candidate Profile & Qualifications:
Education:
- Chartered Accountant (CA - strongly preferred) or MBA in Finance from a premier/Tier-1 business school.
Relevant Experience:
- 5 - 7 years of total experience in Strategic Investments, Corporate Development, Venture Capital, Private Equity, Investment Banking, or Transaction Advisory.
- A minimum of 3 to 4 years of dedicated Financial Due Diligence (FDD) / Quality of Earnings experience, ideally within a Big 4 accounting firm (Deloitte, PwC, EY, KPMG).
- Direct track record in end-to-end deal execution and thesis-driven sourcing.
Sector Focus:
- Core exposure to BFSI and Fintech (B2B Enterprise / SaaS) is preferred; relevant transaction exposure in Consumer, Healthcare, or Pharma is an added advantage.
Core Competencies:
- High executive presence, strong communication, and seasoned presentation skills suitable for engaging with Bank C-suite executives, Board members, and company promoters.
- Advanced financial modeling, valuation, and M&A accounting skills.
- Self-starter with high ownership, intellectual curiosity, and rigorous analytical discipline.
