Our Client is a an Investor wit more than a half a Billion USD assets under Management .

The Assistant Vice President - Funds will be responsible for end-to-end financial management, statutory audits, fund operations, compliance, taxation, investor reporting, and governance

The AVP will support investments, exits, and fundraising processes for funds backed by local and global DFIs, institutional investors, and HNIs. The role includes maintaining system-based fund records and providing ongoing oversight of Business Integrity and Corporate Governance at the fund and portfolio company level.

Key Responsibilities:

1. Regulatory, Legal & Investor Compliance

- Ensure full compliance with SEBI AIF Regulations, RBI/FEMA, Income Tax Act, Companies Act, and Mauritius regulatory frameworks.

- Review fund constitutional documents (PPM, Contribution Agreement, LPA, Side Letters) and ensure adherence in fund operations.

- Manage investor-level compliance including FATCA/CRS, KYC/AML checks, and beneficial ownership disclosures.

- Oversee legal compliance aspects in investment and exit documentation, ensuring robust alignment with fund obligations.

- Drive a compliance culture across the fund, positioning the function as a value-add rather than a check-the box exercise.

2. Fund Accounting & Reporting

- Supervise administrators and review NAV, investor statements.

- Monitor drawdowns, distributions, and repatriations in accordance with FEMA, tax and fund documents.

- Prepare/Review financials for Indian and offshore entities and oversee quarterly/annual financials under IndAS/IFRS.

- Coordinate external audits and ensure timely closure without qualifications.

- Leverage the Fund Accounting System effectively to strengthen accuracy, reporting quality, and reduce manual dependence.

- Continuously enhance processes to align with best practices, preparing for eventual scale-up of operations.

4. Investor Reporting & Fundraising Support

- Support fundraising by preparing compliance certifications, responding to investor due diligence requests, and coordinating with DD agencies.

- Manage investor queries on tax, compliance, BI, and financial reporting with clarity and timeliness.

- Create structured touchpoints with investors through quarterly updates, calls, newsletters, and annual meetings to enhance transparency and engagement.

- Strengthen investor confidence by ensuring reporting is accurate, insightful, and aligned with international LP standards.

5. Transaction & Operational Support

- Provide operational and compliance support in structuring and execution of investments and exits.

- Ensure seamless coordination with deal teams, tax advisors, and legal counsel during live transactions.

- Oversee fee and carry accounting, ensuring alignment with fund economics.

Qualifications & Experience:

- Chartered Accountant (CA) mandatory; LLB/CS preferred.

- 8-12 years' experience largely in Private Equity / Venture Capital fund finance, legal, compliance.

- Strong knowledge of SEBI AIF Regulations, FEMA, Income Tax, Companies Act, fund documentation.

- Exposure to Offshore fund structures and cross-border flows preferred.

- Prior use of fund accounting systems (e.g., Investran, eFront) desirable.

- Familiarity with automation and AI tools in compliance & reporting desirable.
