Job Purpose:

Lead business origination and execution across M&A, corporate restructuring, capital raising and strategic advisory opportunities in the transport infrastructure sector, with a focus on roads, highways, toll assets, HAM/BOT/PPP projects and related infrastructure businesses. The role will be responsible for developing senior client relationships, originating mandates, structuring transactions and driving revenue growth.

Key Responsibilities:

- Originate and win M&A, corporate restructuring, capital raising and strategic advisory mandates from transport infrastructure companies, developers, investors and asset owners.

- Build and maintain strong relationships with promoters, CXOs, infrastructure funds, PE investors, lenders and other financial stakeholders.

- Identify and originate opportunities across road/highway assets, toll roads, HAM/BOT/PPP projects and transportation infrastructure platforms.

- Lead transactions involving acquisitions, divestitures, strategic investments, joint ventures, platform investments and asset monetization.

- Originate and execute private capital raising from PE funds, infrastructure funds, special situation/distressed funds and strategic investors.

- Drive debt and equity capital raising for infrastructure companies and projects, including structured financing and refinancing opportunities.

- Support and originate capital markets transactions, including IPOs, QIPs, rights issues, open offers, delistings and other strategic transactions, where relevant.

- Lead end-to-end execution of mandates, including financial analysis, valuation, transaction structuring, due diligence, negotiations, deal documentation and closure.

- Develop and review financial models, valuation analyses, transaction structures and investment cases for infrastructure assets and companies.

- Work closely with capital markets, debt syndication, project finance and other internal teams to originate and execute transactions.

- Provide industry and company-level analytical support for pitch books, client presentations, transaction proposals and investment memoranda.

- Monitor the transport infrastructure sector to identify market opportunities, consolidation trends, distressed assets, refinancing requirements and potential M&A targets.

- Liaise with SEBI, lenders, legal advisors, transaction advisors and other regulatory/stakeholder bodies as required for transaction execution.

Key Skills & Experience:

- Strong experience in Investment Banking, Corporate Finance, M&A, or Infrastructure Advisory.

- Proven track record in business origination and winning mandates, with strong client relationships.

- Demonstrated experience in executing M&A, debt/equity capital raising and corporate restructuring transactions.

- Strong exposure to transport infrastructure, roads, highways, toll roads, HAM/BOT/PPP projects is preferred.

- Experience raising capital from PE funds, infrastructure funds, special situation funds and distressed funds.

- Strong understanding of valuation, financial modelling, transaction structuring and due diligence.

- Good understanding of SEBI regulations and capital market transactions, including IPOs, QIPs, rights issues, open offers and delistings.

- Strong network among promoters, infrastructure companies, PE/infrastructure funds, banks and institutional investors.

- Excellent origination, negotiation, influencing and relationship-management skills.

- Strong commercial orientation with the ability to identify opportunities and convert them into mandates.

- High ideation capability with demonstrated ability to take transactions from origination through successful closure.

- Strong leadership, team management and mentoring capabilities.

- High standards of compliance, governance and transaction execution discipline.
