Financial Due Diligence For AM / Manager
Job Summary :
We are seeking a highly motivated and detail-oriented Financial Due Diligence professional to join our Transaction Advisory Services team. The ideal candidate will have strong experience in financial due diligence, transaction advisory, and client-facing engagements, supporting strategic buyers, corporate clients, and private equity investors through acquisitions, divestitures, mergers, and other transaction processes.
In this role, you will lead buy-side and sell-side due diligence engagements, analyze financial performance and business drivers, identify key transaction risks and opportunities, and deliver actionable insights that support investment and acquisition decisions. The position offers significant exposure to senior stakeholders, private equity firms, investment teams, and corporate leadership.
Key Responsibilities :
Transaction Advisory & Financial Due Diligence :
- Lead and execute buy-side and sell-side financial due diligence engagements for private equity funds, corporate clients, and strategic investors.
- Analyze target company financial statements, management information, and operational data to assess financial performance and business sustainability.
- Evaluate revenue streams, profitability trends, cost structures, assets, liabilities, and cash flow performance.
- Identify key deal issues, risks, and opportunities that may impact valuation, transaction structure, or negotiations.
- Assess normalized EBITDA, quality of earnings, net debt positions, working capital requirements, and cash flow adjustments.
- Review historical and projected financial performance and assess the reasonableness of management forecasts and assumptions.
- Support clients in evaluating transaction risks and making informed investment decisions.
Engagement Management
- Manage multiple due diligence engagements simultaneously while ensuring timely delivery
and quality standards.
- Lead engagement planning, execution, review, and reporting activities.
- Supervise and review the work performed by Assistant Managers, Seniors, and Associates.
- Coordinate with internal service lines such as Tax, Valuation, Strategy, Risk Advisory, and Legal teams to deliver integrated transaction support.
- Ensure adherence to firm methodologies, quality standards, and risk management
procedures.
Financial Analysis & Reporting :
- Prepare comprehensive due diligence reports highlighting key findings, risks, opportunities, and transaction considerations.
- Analyze working capital trends, debt-like items, contingent liabilities, and financial
adjustments.
- Assess valuation model inputs and provide recommendations based on due diligence findings.
- Present findings and recommendations to clients, senior management, investors, and transaction stakeholders.
- Develop financial models and perform sensitivity analyses to support transaction decisions.
Client Relationship Management :
- Build and maintain strong relationships with private equity firms, corporate clients, investment teams, and senior executives.
- Act as a trusted advisor by providing insightful and commercially focused recommendations.
- Support partners and directors in managing key client accounts and strengthening client
relationships.
- Participate in client meetings, management discussions, and transaction negotiations.
Team Leadership & Development :
- Lead, mentor, and develop teams of Associates, Seniors, and Assistant Managers.
- Provide technical guidance and coaching on due diligence methodologies and transaction advisory practices.
- Conduct performance reviews and support professional development initiatives.
- Foster a collaborative and high-performance team culture.
Practice Development & Business Growth :
- Support business development initiatives, proposal preparation, and client pitches.
- Identify opportunities for expanding service offerings and strengthening market presence.
- Contribute to internal practice development initiatives related to quality, risk management,
operational excellence, and knowledge sharing.
- Participate in thought leadership, training programs, and industry research activities.
Required Skills & Qualifications :
Educational Qualification :
- Chartered Accountant (CA) Mandatory.
Experience :
- 3 - 8 years of relevant experience in Financial Due Diligence, Transaction Advisory Services, Deal Advisory, Audit, or Corporate Finance.
- Prior experience working with consulting firms, Big 4 firms, transaction advisory practices, or investment-related environments is highly preferred.
