Job Role: AM/Manager - Company Secretary
Location: Mumbai
Key Responsibilities:
- Ensure compliance with the Companies Act, 2013 and other applicable rules and regulations.
- Handle compliance requirements under RBI/FEMA and SEBI LODR regulations, especially for debt-listed entities.
- Keep abreast of latest updates in corporate laws, SEBI guidelines, and Secretarial Standards.
- Organize and manage Board Meetings, Committee Meetings, and General Body Meetings across group companies.
- Prepare and file Annual Returns, regulatory forms, and disclosures under Companies Act and SEBI regulations.
- Maintain all statutory registers, minutes, and compliance documentation.
- Manage debt-related compliance including charge creation and satisfaction, and procedures for issuance of NCDs and Commercial Papers.
- Liaise with internal stakeholders (Board, shareholders, investor secretarial teams) and external stakeholders (Registrars, Depositories, Auditors, Advisors).
- Provide working knowledge and review support for key agreements such as Shareholders' Agreements, Subscription Agreements, and NDAs.
Key skills:
- Strong understanding of Company Law provisions applicable to Private Limited Companies.
- Familiarity with RBI regulations applicable to Banks and NBFCs is an added advantage.
- Excellent verbal and written communication skills.
- Strong interpersonal and coordination abilities to manage multiple stakeholders.
- Ability to handle and prioritize multiple compliance matters in a fast-paced environment.
Qualifications:
- Qualified Company Secretary (CS).
- Around 4 years of relevant work experience.
- Prior experience in BFSI / Fintech / Financial Services is preferred.
