Role Overview:

The role will involve client coverage, business development, transaction origination and execution across the Financial Services sector, with a focus on M&A, private equity / strategic fund raising, ECM transactions including IPOs and QIPs and other corporate finance advisory transactions.

The individual will be expected to develop senior-level client relationships, originate new mandates, lead transaction execution and provide strategic insights to clients across the BFSI ecosystem.

Key Responsibilities:

Client Coverage & Business Development:

- Build and maintain strong relationships with promoters, founders, CXOs, financial institutions, PE/VC funds and other key stakeholders.

- Develop deep relationships across the BFSI sector and identify potential transaction opportunities.

- Originate and convert mandates across M&A, fund raising, strategic investments, divestments, IPOs, QIPs and other corporate finance transactions.

- Develop and maintain a robust pipeline of potential transactions.

- Lead client meetings and discussions with senior management and promoters.

Transaction Origination & Execution:

- Lead / manage execution of M&A, fund-raising, IPO and QIP mandates from inception to closure.

- Prepare and review pitch books, teasers, information memorandums, roadshow presentations, discussion documents and other transaction materials.

- Drive financial analysis, valuation and transaction structuring discussions.

- Coordinate with clients, investors, legal advisors, auditors, consultants and other transaction stakeholders.

- Manage transaction timelines and ensure effective execution across multiple workstreams.

- Participate in negotiations and assist clients in evaluating strategic alternatives.

- Support clients through IPO / QIP processes, including preparation of transaction materials, valuation analysis, investor positioning and coordination with relevant stakeholders.

Sector Coverage - BFSI:

The role will involve coverage across various Financial Services sub-segments, including:

- Banks & NBFCs

- Housing & MSME Finance

- Microfinance

- Insurance

- Wealth Management & Broking

- Asset Management / Mutual Funds

- Fintech & Payments

- Asset Reconstruction Companies

- Financial Distribution

- Other emerging Financial Services businesses

The candidate should have the ability to develop sector perspectives, identify market trends and translate these into actionable transaction opportunities.

Financial & Analytical Responsibilities:

- Review and develop detailed financial models and valuation analyses.

- Conduct industry and company analysis, benchmarking and transaction comparable analysis.

- Evaluate potential M&A, fund-raising and capital-market opportunities.

- Prepare strategic analysis and transaction recommendations for clients and senior management.

- Support structuring and pricing discussions based on market conditions and investor appetite.

- Develop sector and company perspectives to support business development, transaction origination and client discussions.

Key Requirements:

- 8 - 12 years of relevant experience in Investment Banking / Corporate Finance, preferably with strong BFSI sector exposure.

- Strong experience in BFSI sector coverage, preferably across multiple Financial Services sub-segments.

- Demonstrated experience in M&A, Private Equity / Strategic Fund Raising, IPOs, QIPs and other Corporate Finance / ECM transactions.

- Proven track record of client relationship management and transaction origination.

- Strong financial modelling, valuation and analytical skills.

- Experience in preparing pitch books, transaction presentations, roadshow materials and other marketing / transaction documents.

- Ability to independently manage transaction mandates and client relationships.

- Strong communication, presentation and negotiation skills.

- Ability to work in a fast-paced, entrepreneurial Investment Banking environment.

- CA / MBA / CFA or equivalent qualification preferred.

Relevant Candidate Backgrounds:

- Candidates with experience in Investment Banking, Corporate Finance, Equity Capital Markets or Equity Research will be considered.

- Candidates from an Equity Research background with strong BFSI coverage, financial analysis, valuation, industry research and company understanding may also be considered, particularly where they have demonstrated exposure to client interactions, capital markets or transaction-related assignments.

- Experience in IPO / QIP transactions, investor engagement, roadshows, transaction analysis or capital-market advisory will be an added advantage.

Key Success Factors:

- Strong BFSI client relationships and market connectivity.

- Ability to independently originate and develop transaction opportunities.

- Demonstrated experience in M&A, fund raising and/or IPO/QIP execution.

- Strong commercial and analytical orientation.

- Ability to engage effectively with promoters, CXOs, investors and senior stakeholders.

- Strong understanding of BFSI businesses, valuations and capital markets.

- Strong ownership, execution orientation and ability to manage multiple mandates simultaneously.
