JOB SUMMARY : Contribute to the successful growth of the organization and protect its interests by: - Managing and resolving all Legal matters arising operationally, as appropriate and consistent with company policies including Corporate Laws, FSSA, Tax, IP, Commercial and other laws generally applicable to Food and Liquor industry. - Assist and provide the management with strategic legal direction and in arriving at prudent commercial decisions in compliance with the legal frame work. - Be a key player in aligning legal with business to contribute to the successful growth of the organization KEY RESPONSIBILITIES : 1. General Legal Management and advisory : - Effectively manage all legal matters relating to Corporate Laws, FSSA, Tax, IP, Commercial Contracts and other legal issues in the courts and other forums. - Act as an internal subject matter expert and render suitable advice to the Management and Business Unit heads on all legal and civil matters, disseminating the knowledge of the applicable laws and regulations. Ensure timely closure of issues as per compliance to the legal requirements laid down for corporate governance and other statutory requirements to enable smooth business operations. - Prevent and mitigate the organization from the risks in the areas of raids, bribery, vehicle hijack, accidents, strikes etc. Work closely with the business team to lay down a proactive course of action on legal issues and crisis response to these situations. Eensure the initial actions are in the lines with the prescribed guidelines and the complaints don't convert into legal actions. Identify issues having regular / larger impact on the business and plan a proactive approach towards closure of these issues along with Legal Head. 2. Litigation Management: - Lead pan India Litigation (Civil, Criminal, Consumer, Arbitration, Legal Metrology, FSSAI, Tax, IP, Commercial, Labor etc.). Draft and implement robust litigation strategy and policies for effectively handling all matters, for and against the company; driving timely recovery - Work closely with the law firms, ensuring prompt response and delivery on all civil, corporate and consumer litigation/potential litigation cases across India covering all laws other than direct taxes applicable to alcohol industry. Set objectives to the law firms reviewing progress on notifications and summons from notification authorities. - Spearhead continuous evaluation of cases through tracking of all industry related cases - High Court and Supreme Court (except Tax Cases below High Court); provide regular update on development to the management. 3. Statutory and Regulatory Compliance Management : - Be the India owner for all legal and statutory compliance creating an environment for achieving company's growth plans and business objectives. - Liaise with senior professionals in Central Government and regulatory authorities for all statutory obligations and compliance with a view - Advise all functional and factory Heads on all statutory requirements regarding labor, taxes, excise etc. - Undertake legal awareness sessions and audits for the entire group to ensure legal compliance. 4. People Management : - Strong focus on people leadership dimensions: Nurture, Grow and Manage functional talent. - Ensure the skill development of the Legal team in their respective areas. - Ensure engaged and motivated team through challenging opportunities, development programs, periodic reviews & feedback, encouraging and open culture. - Work closely with other Functional Heads/factories/regions so that all legal obligations related to taxes, excise etc. are adhered to. KEY INTERFACE : INTERNAL 1) Sales and Marketing Team 2) Communications Team 3) Operations Team 4) Finance Team 5) Factory Teams 6) Corporate Affairs Team EXTERNAL 1) Government and Regulatory Authorities - Customs, Excise etc. 2) Legal Firms 3) Lawyers and Consultants KEY PERFORMANCE INDEX - Play active role in implementing Anti-Bribery Policy - Play active role in bringing out consumer complaint management system - Sanitize the packaging and labeling declarations from perspective of L.M. (P.C.) Rules, FSSA (P&L) and Excise mandates. - Bring out a presentation on soft and hard skills required for an in-house legal counsel and general counsel - Disseminate the knowledge of the policies of the Company among all the employees and sensitize various business managers over applicable laws, regulations - Ability to identify areas of risk and remedial plan - Ability to mitigate/ eliminate exposure in litigation areas - Protect / enforce company's rights and assets - Advise company on new/ changing laws/ regulations and assess/ mitigate/ eliminate any adverse exposure that may arise due to the same/ non- compliance. PROFILE DETAILS : QUALIFICATION : - Law graduate (LLB) EXPERIENCE: - 12-18 years of total experience with strong experience in managing legal affairs of a large diversified Corporation. Experience in working with FMCG Industry would be highly preferred - At least 10 years of experience negotiating highly complex legal issues - Should have strong knowledge and expertise in Corporate & Commercial laws, Labor & employment Laws and food & liquor laws. - Extensive knowledge on litigation, claims management, legal metrology act and arbitration - Strategic thinker with impeccable execution capabilities and people skills. - Well connected with the Legal fraternity FUNCTIONAL COMPETENCIES : - Legal knowledge - Effective advice - Asset protection and defense (including IP) - Dispute resolution management - Risk identification and mitigation - Agreement drafting and negotiation - Corporate governance - Financial understanding for Legal - Project management - Business acumen - Communication and relationship building - Analytical thinking
