Job Description

As an IT Due Diligence and Post-Diligence Manager at Deloitte, you will play a critical role in assessing the technology and information systems of target companies during the M&A process. You will be responsible for evaluating the IT infrastructure, systems, and processes, and providing strategic insights to our clients to support their investment decisions. Additionally, you will oversee the post-diligence phase, ensuring a smooth transition and integration of IT assets post-acquisition.

Key Responsibilities:

Engagement Management

1. Due Diligence:

- Responsible for independently delivering and reviewing IT DD transaction reports and other M&A work products

- Review and conduct in-depth assessments of target company's IT infrastructure, applications, and technology assets.

- Review and prepare detailed due diligence reports and present findings to clients.

- Provide strategic recommendations based on due diligence findings to support client investment decisions.

- Collaborate with cross-functional teams to develop integration plans and IT strategies post-acquisition.

- Assist clients in negotiating IT-related terms in M&A agreements.

- Ensuring timely completion of Deloitte's internal risk and compliance management process from project initiation (resource planning, budgeting), project management (stakeholder management, status reports, time management) to project delivery (quality deliverables, final presentation)

2. Post-Diligence Management:

- Oversee the integration of IT systems and infrastructure post-acquisition.

- Ensure seamless transition of IT assets, minimizing disruptions to business operations.

- Review and prepare detailed Day1/ Day100 plan, synergies, interdependencies and present findings to clients.

- Collaborate with IT teams to align systems, processes, and policies with the client's objectives.

- Monitor the progress of IT integration projects, ensuring timely completion and adherence to budgets.

- Facilitating client workshops and presenting to clients both in a business development context and as part of project deliverables.

Client Relationship Management:

- Build and maintain strong relationships with clients, serving as a trusted advisor on IT matters.

- Address client inquiries and provide ongoing support during the post-acquisition phase.

- Manage client expectations and deliver exceptional service to enhance client satisfaction.

Team Leadership:

- Lead and mentor other members of the IT due diligence and post-diligence team.

- Provide guidance and training to ensure the team's professional growth and development.

Business Development:

- Collaborate with executive leadership (e.g. Private equity directors and CxOs, and internal stakeholders i.e. Partners and Directors) to identify and evaluate potential IT-related investment opportunities.

- Leading or assisting the senior members of the practice on pursuits and pitches, preparation of presentations for client meetings and RFP responses.

- Work closely with legal and financial teams to structure deals that align with the company's strategic objectives.

Practice Development:

- Practice development initiatives includes development of relevant service offerings by drawing knowledge and experience across IT domain, developing PoV for relevant sector & sub-sectors, identifying ways of working which will increase efficiency and effectiveness of current offerings

- Recruit, mentor, and manage a team of professionals specializing in IT M&A.

- Facilitate knowledge sharing and cross pollination of best practices within the organization.

Qualifications:

Must Have:

- Minimum of 8 years of professional work experience.

- Master's in business administration (MBA) with graduate degree in technical stream such as BE/B.Tech or in similar technical areas

- Having worked for a Big-4 management consulting in IT advisory / Transformation SSL or within Consulting BU of an IT Services firm

- Understanding of the M&A lifecycle and preferred to have experience on post-merger integration/ separation while preparing detailed presentations and plan for Day 1, 100 day and successful cut-over;

Preferred:

- Preferable experience of working on Private equity and corporate transactions, and having performed a few IT M&A assignments such as due diligence, integrations & carve-outs for India based deals;

Technical know-how:

Must Have:

- Understanding of cybersecurity principles, data management, governance and best practices. This includes assessing the target's cybersecurity posture, identifying vulnerabilities, and recommending security improvements.

- Familiarity with industry-specific regulations and compliance requirements, especially in highly regulated sectors such as healthcare or finance.

- Strong project management skills to oversee the execution of IT integration projects, including creating project plans, allocating resources, and managing budgets.

- Familiarity with software development methodologies, application portfolio analysis, and the ability to evaluate the compatibility and condition of software assets.

- Knowledge of server infrastructure, storage solutions, networking, and hardware, including the ability to assess the condition and capacity of these assets.

- Awareness of emerging technologies and their potential impact on IT strategies and integration efforts.

Preferred:

- Knowledge of cloud computing platforms (e.g., AWS, Azure, Google Cloud) and experience with cloud migrations, if applicable.

- Understanding of enterprise architecture principles and the ability to assess the compatibility and alignment of IT systems in the context of mergers and acquisitions.

- Understanding of data analytics tools and techniques to assess the value and potential insights from data assets within the acquired company.

- Proficiency in evaluating vendor contracts, licensing agreements, and service level agreements (SLAs) to optimize costs and align with business objectives.
