Company Secretary:

1. Corporate Governance:

- To assist in ensuring the company complies with legal and regulatory requirements and follows best practice, by advising the board on their responsibilities, and helping to develop corporate governance policies and procedures

2. Compliance:

- To assist in ensuring compliance with relevant laws, regulations, and corporate policies.

- Monitor changes in legislation, updating the board and management teams on any legal developments that may impact the company

- Good understanding of capital markets, insider trading and RBI regulations.

3. Board Support:

- Assisting in the board meetings, arranging meeting agendas, materials, and taking minutes throughout.

4. Shareholder Regulations:

- Assist in managing communications with shareholders, including shareholder and other general meetings, to help facilitate the exercise of shareholders' rights.

- Assist in handling matters related to share transfers, dividends and other corporate actions.

5. Record Keeping:

- Assist in maintaining the company's statutory registers and records.

6. Other:

- Sound Knowledge of SEBI Listing regulations & InvIT regulations and compliances as applicable for a listed entity.

- Matters related to issuance, transfer/ transmission of shares and other securities

- Matters related to issuance of shares through Rights Issue, Private Placement, Preferential Issue etc.

- Compliance w.r.t RBI, FEMA and rules thereunder on matters related to FDI/ ODI etc.

- Filing of information on Firms portal.

- Compliance of requirements under SHA/SSA.

- Various corporate actions of the company, name change, change of director, registered office change, obtaining consents of shareholders etc.

- Assist in handling matters w.r.t Statutory audit, Secretarial audit and Due Diligence.

- Various quarterly compliances of SEBI Listing Regulations such as filing of Corporate Governance report, Shareholding pattern, Reconciliation of share capital audit report, financial statements etc. (both XBRL and non-XBRL formats);

- Assist in finalization of the Annual report(s)

Qualification:

- 2-6 years of progressive experience in Secretarial & Compliance

- Exceptional communication and presentation abilities

- Attention to detail and a commitment to accuracy

- Proactive problem-solving and decision-making skills

- Ability to work collaboratively within a team and across departments

- Commitment to maintaining confidentiality and upholding ethical standards in financial management
