Carrying out secretarial activities of ZyFin Group Companies carrying out and understanding secretarial. requirements across the jurisdiction like India, Singapore, Cayman Islands, Cyprus coordinating with Corporate Administrators of offshore companies for statutory filings.

Providing advice on matters related to Company Law, other regulatory issues in corporate laws as and when referred by the management.

Drafting Board, General and Committee meetings minutes for various meetings.

Monitoring and overseeing day to day compliance under Companies Act.

Coordinating with the various stakeholders and responding to their queries.

Compliance's and related filings under FEMA with RBI from time to time.

Organizing and managing Board meetings, Agenda for domestic companies and holding company.

Compliance

Compliance support for Research and offshore fund management business in U.K, U.S, Singapore, London.

Registration and compliance of businesses/ entities with regulators.

Ensuring compliance w.r.t. to applicable laws and regulations.

Vetting of various information materials, marketing materials, website of the Company.

Updating and informing the management on the compliance requirement vis a vis jurisdictions.

Assist in framing a compliance management framework across jurisdiction for offshore fund management business.

Drafting of offer documents, compliance policies, understanding of listing funds on Stock Exchanges etc.

Legal

Assisting in managing legal matters and instituting systems and legal practices to secure the best interests of the organization.

Co-coordinating legal matters and assist in finalizing all contract documentations.

Assisting in negotiation of terms & conditions of contracts, settlement agreements, performing analysis to ensure that contracts are within negotiated & agreed-upon parameters.

Coordination with external lawyers for finalization of contracts.

Record keeping of important legal documents of the Company.

Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
