VP Legal - Structured Finance
- The incumbent will be primarily responsible for providing legal support to different business units of the Bank in India - with a focus on transactions relating to structured lending, capital markets, banking and public/private M&A.
- The ideal candidate would be well versed with FEMA, FDI policy, RBI regulations on ECB and ODI, Corporate laws, SEBI regulations such as ICDR, FII/FPI, merchant bankers, underwriters, takeover, stock broking, debt listing, portfolio managers, etc.
- Some amount of litigation experience would also be a plus but not a constraint.
Broadly, the incumbent would be expected to provide support on the following :
- Supporting the structured lending business team on structured lending and vanilla lending transactions involving both Indian and overseas group entities;
- Supporting the investment banking team with investment banking related transactions such as initial/follow on issuances, private placements (QIPs), M&A advisory, etc.;
- Supporting the Mumbai bank branch with documentation and regulatory issues with respect to derivatives (ISDAs, GMRA and related documents) and other transactions, including escrow agreements, service level agreements, etc., apart from policies, documentation review and KYC related issues;
- Supporting the IBD legal team with policy/process formulations and developing house templates;
- Supporting the structured lending legal team with policy/process formulations and developing house templates; and
- Supporting with entity specific transactional and non-transactional agreements and responding to miscellaneous legal/regulatory queries.
- The ideal candidate would be a self-motivated individual who is able to work on own initiative and as a part of multi- disciplinary and multi- jurisdictional teams with limited supervision.
- The incumbent would be expected to have sound legal knowledge coupled with a keen commercial sense along with the ability to have a solution oriented approach.
