Vice President - Legal - Real Estate

- Identify, anticipate & mitigate legal risk

- Oversee land acquisition & Due Diligence to ensure clear title

- Transaction structuring & documentation: Work with top counsels, provide options on various deal structures; Draft, negotiate & finalize transaction documents

- Initiate legal proceedings, active participation in strategy, research & arguments during litigation; manage external counsel, drive settlements

- Structure, draft & negotiate SPA, SHA, IA, DOA, JVs and joint development transactions

- Draft & vet agreements like Lease, Conveyance & Mortgage Deeds, Agreements for Sale, Leave & License & development, legal contracts & tenders

- Draft & negotiate commercial contracts; Prepare templates, upgrades of all standard agreements, documents; Control quality of closure of agreements with vendors

- Manage Group Intellectual Property & ensure timely renewals, oppositions etc

- Deal with Corporate entities, Retail/Commercial brands, Contractors/vendors, External Legal Counsel, Statutory/ Regulatory agencies and internal Business Heads

- Expert knowledge of Indian Contract Act, Transfer of Property Act, RERA, MOFA, other applicable real estate laws

- Wide exposure to litigation [personal & professional] with good knowledge of procedural laws

- High degree of legal aptitude, top notch drafting & negotiating skills with flair for innovative solutions

- Capable of running around, handle pressure, hands-on and not a delegator; can independently read a letter & draft a response
