Job Description : - Minimum of 5 yrs experience in Corporate Industry. - Certified Company secretary (CS) - Ensuring that the company complies with the highest standards of corporate governance - Responsible for all secretarial matters relating to the company under the Companies Act,1956 and Companies Act, 2013 - Preparation of Circular Resolutions, Notice Agenda, Information Packs and Minutes of Board Meetings, Audit Committee and other committees - Maintenance of statutory registers and records of the Company - Carry out all the filings with various authorities in a timely manner - To act as a Compliance officer, handling matters related to company and secretarial affairs Incorporation, merger. - Coordinate and follow up with lawyers, internal customers, CEOs and accounts team - Conducting the Board meetings and preparation of Minutes of the meeting/issuing extracts there of Corporate governance Charge creation and filing of charges.
