Senior Associate - Company Secretarial Responsibilities: - Automating standard secretarial processes. - Handling corporate compliances of more than 20 companies (domestic and overseas) including society and Section 8 Companies. - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various laws. - Handling the promotion, formation and incorporation of companies and matters related therewith for foreign jurisdictions. - Handling M&A transactions undertaken by the Company. - Managing every fund raise of the Company including the secondary transfers as well. - Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative - Managing the entire lifecycle of ESOPs through a portal and conducting trainings for the employees of the Company. - Independently manage the amalgamation of subsidiaries through NCLT route. - Preparing Board minutes, general meeting minutes and timely execution of the same - Research on various corporate actions under the Companies Act, 2013 - Acts as the custodian of corporate records, statutory books and registers - Drafting, negotiating, reviewing and end to end management of standard company contracts with vendors, clients, etc. - Takes proper action to close out the contract in accordance with applicable procedures at the conclusion of all activity. - Timely follow-up with Vendors/customers, Consultants and providing the appropriate information as and when needed. What We Are Looking At: - Company Secretary with min 4+ years of experience in Corporate (Law Graduate - preferred). - Excellent Communication Skills. - High level energy and patience, timely response and quick learner. - Ability to multi-task and perform under pressure. - Strong knowledge on Companies Act, 2013, FEMA, SEBI and Listing regulations. - Experience of Initial Public Offer - preferred. - Able to work independently and manage team of company secretaries. - SPOC for all external stakeholders including investors, regulators, shareholders.
