Associate - Company Secretary
- Handle the promotion, formation and incorporation of companies and matters related there with for foreign jurisdictions
- Automating standard secretarial processes.
- Handling corporate compliances of more than 20 companies (domestic and overseas) including society and Section 8 Companies.
- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various laws.
- Handling the promotion, formation and incorporation of companies and matters related therewith for foreign jurisdictions.
- Handling M&A transactions undertaken by the Company.
- Managing every fund raise of the Company including the secondary transfers as well.
- Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative
- Managing the entire lifecycle of ESOPs through a portal and conducting trainings for the employees of the Company.
- Assist seniors in the amalgamation of subsidiaries
- Preparing Board minutes, general meeting minutes and execution of the same
- Research on various corporate actions under the Companies Act, 2013
- Acts as the custodian of corporate records, statutory books and registers
Preferred candidate profile:
- Company Secretary with min 1-2+ years of experience in Corporate (Law Graduate preferred)
- Proficiency in MS Word.
- Excellent Communication Skills
- High level energy and Patience, Timely response and Quick Learner
- Good knowledge on Companies Act, 2013, FEMA, SEBI and Listing regulations
- Should be able to work independently
- SPOC for all external stakeholders including investors, regulators, shareholders
