Job Objective :
To handle transactional M&A activities for department and lead a team
Basic Requirement :
- Education CA/ CPA/ Masters in Business Accounting/ Finance or relevant field. Certificate/working knowledge of Business Analytics
- Relevant Exp. 8+ years in M&A preferably from Consulting organization, or experience in Corporate Planning & Strategy Development in Corporate Houses
Key Activities (Major Roles and Responsibilities) :
- Handle end to end transactional role in Merger & Acquisition
- Manage entire gamut of pre & post-merger activities including project evaluation appraisal, preparation of term sheet, definitive document, side letters, etc.
- Coordinate with external agency for legal and financial teams during Due diligence.
- Should facilitate the Origination of M&A opportunity from inception to the finalization of acquisition.
- Client Servicing - Carry out assignments related to business plan, partner/ distributor search, due diligence for companies & negotiate with external parties wherever necessary.
- Thorough analysis of financial statements for risk assessment.
- Evaluation & Preparation of business model.
- Preparation of valuation, projection and project reports
- Develop and manage relationships with outside parties (potential counterparties, advisors, industry resources, etc.) as necessary
- Performs market research to determine financial viability of business opportunities and performs scenario analyses
- Synthesize information and provide detailed presentations and communicate business case for senior management.
- Manage team working on multiple projects.
- Analysis of Balance sheet, Profit & Loss statements as well as involve in doing Company Valuations.
- Excellent exposure to structuring options for deals for private/ listed companies
- Analysis of financial/ strength & Weakness of companies and recommend target companies.
- Good network with the Indian Investment Banking community/Indian industry
- Having strong and practical experience in financial analysis in the field of mergers and acquisitions.
- The key area of expertise should be in:
a. Analysis of profit and loss account, balance sheet and cash flow statements.
b. DCF (Discounted cash flow) and options valuations.
- Acquisitions options like 100% buyout with or without earn out options or partial equity acquisitions with earn out options
