Job Description

- Lead legal team on business projects of the company in India and other parts of the World involving transaction structuring, negotiations and drafting of the project documents pertaining to ongoing and prospective projects of the company and subsequent contract management thereto.

- Specialist advice & strategic guidance for operating within the legal framework for various inorganic transactions, dispute resolutions for Property, Bankrupt and Tax cases, advocacy and regulatory compliance.

- Leading end to end legal initiatives such as negotiation, structuring of large global customer contracts, diligence and transaction closures.

- Responsible for managing legal metrology of the company at global level and build a robust system for filings and supervision of IP.

- Institutionalizing, Centralizing & Digitizing legal systems and processes.

- Assisting representations to be made to Governments on regulatory and policy advocacy.

- Rendered internal legal opinion and supervise external counsel, and proactively monitor/drive litigation and conducting corporate due diligences covering all aspects of corporate.

- Ensure litigation cost is managed in an efficient manner.

- Managing matters related to fund Raising.

- Streamlining Global compliance and understanding of relevant global legal provisions applicable to company

- ESG Compliance Reporting and Impact study frameworks and Execution.

- Policy streamlining across departments and across companies.

- Lead all litigation-related internal controls, reporting and centralized management and managing related risks.

- Leading the team in Drafting and Vetting of various high value Contracts, Tender documents.

- Contract negotiations and necessary mitigation, since tendering stage unto final execution.

- Drafting and vetting of various Commercial and business Agreements including JV / Consortium Agreement, MOU's for co-operation and tender participation, Sub-contract Agreement, Work order, Purchaser Order, Standard GTC, Supply Agreement, Purchase Agreement, Agency, Non-Disclosure Agreements, Infrastructure Sharing Agreement, Confidentiality Agreements, property related documents, Lease Deeds, Franchise Agreement, and agreements relating to ECB, Franchise, Joint Venture, Rental, International, Cross border, Warehouse (Domestic & International), Acquisition, Fund raising (IPO).

- Co-ordinate with concerned Business team and undertaking drafting of various legal notice, reply to various legal notices received by the organization.

- Undertaking Effective claims management for various projects due to delay in execution of the project.

- Briefing Senior Counsels and preparing briefs for the Management and Senior Counsels.

- Claims management and handling various business and commercial litigations.

- Manage the drafting of C&D notices inhouse after the legal due diligence of all infringement cases in India and abroad.

- Responsible for upkeep for the Trademark MIS and tracking certificates of applied cases.

- Coordinating with external agencies for filing and tracking oppositions to identical/ similar trademarks of that of EAPL

- Additional responsibility to supervise the design and patents filing for EAPL and subsidiaries.

- The resource shall be responsible for international trademark infringement cases and ensure timely compliance in case of ongoing Trademark litigation.

- Should have knowledge of undersection 138 of the Negotiable Instrument Act, 1881.

- Handling all the Global Legal Cases.

- Travel is mandatory as and when need to Domestic or International Location.
