Job Description:

- Incumbent to handle all Secretarial matters including preparation of agenda and minutes of Board/Committees meetings and General Meetings and adherence to various statutory compliances.

- Extending necessary support to Compliance Officer in matters relating to listing agreement requirements including clause 49, SEBI regulations on Takeover, ICDR and Insider Trading Codes, etc

Maintaining statutory registers such as:

- Register of Investments

- Register of Contracts

- Register of Directors

- Register of Directors' shareholdings etc.

- Identification of related parties, monitoring on related party transactions and compliance thereof

- Tracking 1st, 2nd and 3rd tier Indian and foreign subsidiaries

- Executive support and assistance to Head-Secretarial in managing Corporate Secretarial activities / responsibilities and aspects of parent and subsidiary companies and those in the Group functions

- Ability in handling matters related to the Chairman's Office and Offices of the

- Director, especially in ensuring timely and accurate disclosures of interest/concern by Board Committee Members, directors qualification certification, in the issue of Certificates of commission, sitting fees, etc. paid by the Company and such other related Secretarial responsibilities.

- Assist in drafting representations to be made to MCA / SEBI/ Chambers on various issues concerning the company

- Extend all assistance in preparation of Annual Report.

- Co-ordination with legal counsel on all Secretarial matters

- To oversee investor related matters specifically investor complaints and litigations.

- To report to the managements MIS of shareholders / debenture holders on weekly basis with analysis of the same and file related disclosures.

- Coordinating with Corp Finance/H.O. Accounts in all matters relating to redemption/interest payments and servicing of all such debt securities

- Assist in timely filing of disclosures and periodical reports with Statutory Authorities and Stock Exchanges, including Secretarial Audit Certificates, statements under Clause 35 and Certificates under Clause 47, Clause 49 compliance certificate

- Co-ordinate the activities of Share Department with R&T Agents at supervisory level, ensuring weekly Registers made on share transfers/transmission/consolidation/sub-division/replacement of certificates, completion of procedures for issue of duplicate certificates, reports on demat/remat, etc.

- Periodical independent audit of Share Transfer activity and checking of all controls and reporting to the Compliance Officer observations and areas needing closer watch or betterment
