Qualification:   - Graduate / Post Graduate in Law with minimum 12-20 years corporate experience. Presently in a GM/ Sr. position and leading a Team  Roles and Responsibilities:  Mergers & acquisition:  - Deal with mergers and acquisitions, cross border acquisitions / divestments and corporate restructuring including incorporation of offshore subsidiaries and effective legal management of such subsidiaries  - Handle due diligence associated with mergers and acquisitions.  Contracts Management (Commercial):  - Excellent structuring of joint venture agreements, investment agreements, collaboration agreements, technology transfer, licensing agreements, share purchase and share subscription agreements, shareholders agreements and conversant with foreign direct investment.   Corporate Legal proceedings - Legal and business due diligence:  - Conduct legal and business due diligence including applicability of legislations, jurisdictional conformity, shareholding patterns, business contingencies, current litigation, amongst other general compliance requisites.  - Documentation including preparation of prelim DD reports till final documentation consummating the entire transaction  Liaison and Corporate Communication:  Brief and interact with counsels and law firms (both international and domestic);  Litigation Management:  - Deal with litigation management and capable of devising appropriate litigation strategy for the group.  - Drafting plaints, written statements, interlocutory applications, claim statements, counter claims, affidavits and other pleadings and submissions before various courts and tribunals;  Realty Documentation:  - Handle legal matters related to corporate finance such as loan agreements and creation of securities, to raise loans from international banks and domestic banks and also deal with handling lending and financing activities, mortgage, and registrations including knowledge of stamp duty implications.  Languages: Tamil and English must
