Director Legal Job Summary : This position is part of the CFO Core Leadership Team and Extended Company Leadership Team. The job holder is responsible for the effective and efficient management of the legal & secretarial department through 1. Provision of high quality legal services 2. Effective management of contractual risks 3. Designing, implementing & ensuring compliance to various risk management policies 4. Monitoring & delivery of various statutory compliances 5. Play an active role in managing & protecting Company Data & IP, and 6. Proactively managing matters of customer complaints & related litigations - The candidate should have a minimum of 12 years of relevant experience. - Managing transaction documentation for a VC/PE fund raise process & dealing with the legal matters for a M&A transaction, would be a "nice to have" item, from an overall experience point of view. - The candidate should have good business acumen, having a collaborative approach, easy to work with different teams, knows how to gain commitment from stakeholders & is responsive & sets the right expectations with team members and customers. - Should be both a player and coach - mentoring the direct reports as needed, yet being able to get into the details, and create / suggest implementable solutions. Job Description : Legal Services : 1. Contract Reviews : Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements & protects Company's risks 2. Risk Assessment & Management : Provide legal protection and risk management advice to management especially on contracts. Collaborate with Finance, Tax, Treasury etc. teams to ensure risks are properly assessed & mitigated in the contract review process 3. Litigation management : Review progress of outstanding litigation and liaise with and manage external lawyers & and advice management accordingly 4. Policy Reviews : Review and advise management on legal implications of internal policies and procedures 5. Liaison / Collaboration : with relevant departments to ensure that where legal risks have been identified, follow ups are put in place & ensure appropriate courses of action have been taken. Secretarial & Regulatory Compliances Matters : 1. Board Matters - Work with Simplilearn CXOs, Investors & Directors to coordinate the Board Meetings agenda setup & execution. 2. Statutory Filings - Formulate compliance check-lists for various legal entities and ensure adherence to the same. Continuously monitor compliance with statutory obligations, including supervising the outsourced firms wrt filings Leadership : 1. Provide continuous leadership, supervision, training and development of department staff ensuring an effective and motivated team. Liaise with the HR department in conducting performance appraisals and ensure competency and training gaps are addressed 2. Be well aware & stay update on India and US & Singapore regulatory requirements today & on the anvil, specially those relating to a. Employee / Labor compliances b. IP & Data c. Customer Engagement - Pre & Post sales d.
