Key purpose of the job (Position Summary) - Manage Legal & Regulatory Affairs

Key Performance Area:

- Contract Management

- Litigation Management

- Compliance Management

- IPR Management

- Advice on Legal issues

- Update on amendments

- Co-ordination with Business heads, Business users, attorneys, lawyers, counsels

- MIS reports on the above to MD's office on a monthly basis

Key Activities & Responsibilities:

- Contract Management - Draft, vet and finalise all fresh agreements, including but not limited to, service agreements for various departments, Purchase Agreements, General Purpose Agreement, OEM Agreements, Supply agreements, Terms and conditions befitting requests from the business team, JV agreements, technical license agreements, Consultants (domestic and overseas), trademark license agreements, MOU's, Bank Guarantees, Undertakings, Indemnity, POA, Affidavit and all other agreements the transaction demands.

- Litigation management- Co-ordinate with an external lawyer for all litigations including Section 138 cases, money suits, consumer cases etc. and arbitration, collect all details required for litigations from other departments, collate and provide to an external lawyer for submission before court and, arbitrator and do all those needful to protect the interest of the Company. Appointment of arbitrator, sending notices to the defaulting party.

- Compliance Management - Coordinate and link between E&Y and internal users and all reports to be prepared and generated through software

- IPR management - coordinate with IP attorney to search and file trademark and design applications, oppositions, infringement petitions, and contest those filed against the Company. Follow up until registration and manage renewals too. Support the R&D team in patent filing.

- General Legal support :

- Advise on legal issues and requests from all departments.

- Update management on the amendments in applicable laws especially Legal Metrology - Act & Rules, Environment Laws, Labour Laws, Finance Laws, Company Laws etc.

- Take steps to address issues in marketing- domestic and international.

- Co-ordination with Business heads, Business users, attorneys, lawyers, counsels

- MIS reports on the above to the MD's office on a monthly basis

- Up-to-date knowledge of all applicable laws.

- Liaise with domestic, and international law firms, attorneys, lawyers, counsels, and consultants and develop the network.

- Efficiently handle team, maintain cordial relationship
