Job Description - Conceptualize and structure mergers & acquisition, and corporate restructuring strategies from legal perspective; - Support the Company's M&A, investment and other corporate development activities, including the due diligence process; - Drafting and negotiation of transaction documents including term sheets, definitive agreements, share subscription and shareholders agreements, closing documents to the transaction, as well as M&A playbooks and related support projects; - Possess In-depth Business Awareness with a thorough understanding of commercials; - Manage projects effectively with a team-oriented approach; - Be able to lead closings and have the ability to lead M&A transaction from inception to closing Ideal Candidate should - 1. Must be an LLB from reputed Law School, LLM will be an advantage 2. Have a minimum experience of minimum 5 years in a top tier law firm with focus on Mergers & Acquisition (M&A's) experience 3. PQE of 7-12 Years 4. Sound Knowledge of FEMA Regulations, Companies Act and Labour Laws. 5. Strong communication skills and excellent drafting skills 6. A creative legal mind with strong attention to detail 7. Strong decision-making abilities and ability to give executive-level guidance in a timely manner 8. Sound and practical business judgment 9. Superior interpersonal skills and team-first attitude
