We have an opportunity for Senior Manager CS and Legal with one of our manufacturing client in Chennai. Key Responsibilities: - The secretarial functions both for Indian and foreign subsidiaries. - Managing subsidiaries- legal and secretarial compliances. - Conducting the Board Meetings, Committee Meetings, preparation of agenda, support papers to agenda, preparing the minutes of the meeting, filing the relevant forms and returns with Registrar of Companies and with other government authorities. Liaison with government agencies including RBI, ROC, Central Government, MCA. - Key role in ensuring the decisions of the Board implemented and communicated within the organization. Advise the company and board on corporate governance. - Monitoring the implementation of the Corporate Governance. Preparation of Annual Reports, drafting Directors Report, Report on Corporate Governance, preparing the report on Management Discussion and Analysis of the industry and vetting the legal documents. - Leading the team for the purpose of legal due diligence of the company. - Interaction with Directors, Auditors, bankers, financial institutions &amp; solicitors. - Leading the team for Loan documentation as per the requirements of the banks and financial institution. Documenting the inter-corporate deposits, loans, and advances. - Conducting the Annual General Meeting. Statutory compliance in respect of the financial closures. - Responsible for monitoring the secretarial activities of subsidiary companies and associated companies - Drafting and vetting of contracts, agreements including share purchase agreements, issue and allotment of share on private placement basis, compliance of SEBI guidelines, jobs relating to the distribution of dividends, interaction with NSDL &amp; CDSL and Registrar and Transfer Agents for the purpose of solving investor grievances.
