Job Title: Sr. Manager Legal & Compliance

Education: Masters in law from a Premier Law College or University is compulsory
Age Group: Minimum 35 Years
Experience: Minimum 02 Years work experience in a well-known LAW FIRM
Language: Fluency in written / spoken English & Hindi. Knowledge of written/spoken Marathi would be an added advantage.
JOB DESCRIPTION:
1. CONTRACTS HANDLING, ADVISORY & LEGAL UPDATES -
- Independently drafting, reviewing, advising, and negotiating wide range of Legal & contractual terms of contracts along with interpretation of contractual clauses with partners, trade-vendors, customers etc.
- Review and share comments on Share Holder Agreements, Loan Agreements, Joint Venture Agreements, Technical Collaborations etc.
- Draft MOUs, NDAs and Real Estate/ Property related agreements and documentations.
- To provide assistance and inputs on various legal matters, as and when raised by various departments to ensure protection of the company's interest.
2. RESEARCH, DILIGENCE & LEGAL/STATUTORY COMPLIANCE -
- Conduct legal due diligence of Group Companies.
- Search & Verify property title, assist in issuance of title clearances certificate, perusing and verifying 7/12 extracts, mutation entries, Register of Holdings, property cards, D.P Remarks, Zone certificates & other necessary revenue records.
- Preparing other Miscellaneous Documents relating to property transactions.
- Conduct research and oversee various laws, rules, regulations regarding the Company's acts and various - statutory/regulatory compliance related to Contract Labor Act, Company's Act, Shops & Establishment Act & other relevant acts.
- Prepare checklists for compliance under relevant laws, coordinating with various departments and ensuring the compliance as per checklist, preparation of monthly/half yearly/ annual compliance Report, preparing action plan for noncompliance, & other legal requisites;
- Review & Recommend the Management on company policies, procedures relevant to Human Resource Management.
3. REVIEWING CASES & PREPARING BRIEFS
- Prepare briefs on legal matters for Management and Company's advisory councils and coordinate meetings on behalf of Management with Attorneys and Council.
- Review progress of ongoing cases and provide regular updates to the Company Management.
SKILLS REQUIRED:
- In-depth knowledge of Maharashtra Rent Control Act, Substantive Law and Legal Procedures.
- Knowledge of Company law, RBI & FEMA regulations
- Good planning, organizational and managerial skills
- Strong work ethics & ability to meet tight deadlines
- Mature, independent with strong communication skills (verbal, written and presentation) and ability to interact/provide legal advice across all levels
- Able to develop and maintain the Company's corporate image & identity
- Proficiency in MS Word, Outlook, Legal Research Software, and Internet is a necessity
