Position: Sr. Manager / Head Legal

Job profile:

Contract Management:

- Establish contracts with customers in US, UK, Middle East, Singapore, and other European countries.

- Advice Business Unit (BU) Heads about business transactions from the Legal point of view.

- Simplify and standardize the legal process, prepare templates, SLAs and checklists for legal process management and review.

Structuring the deals:

- Structure contracts for inbound or outbound equity investments, business arrangements, joint ventures, takeovers, mergers, demergers, spin-offs and slump sale.

- Incorporate entities in India, as well as other parts of the world viz., USA, Europe, Canada, Turkey, Middle East, Africa, Australia, Asia-pacific region.

Litigation:

- Initiate dispute settlement process, conduct mediation and reconciliation process if any to minimize litigation

- Handle prosecution and other proceedings under civil and criminal cases including Negotiable Instruments Act, Contracts Act, IPC etc.

- Respond to all customer complaints and legal notices if any.

- To coordinate with and assist external legal counsel in various States in India or abroad.

Secretarial matters & compliances:

- Handle all Board Matters

- Knowledge of the UK company law/code on convening board meetings, shareholder meeting and preparing minutes, circular/written resolutions, agendas, notice, Maintaining statutory registers, minutes books, shareholder ledgers/registers, Preparing memorandum of articles, articles of association, bylaws, public deeds etc. is preferred

- Facilitate internal audit and statutory audit process relating to Legal, Compliance and Secretarial matters

- Taking care of all annual and transactional compliances under Companies Act, FEMA regulations and RBI guidelines for Indian and overseas entities

- Employment related compliance relating to Indian as well as overseas entities
